Title to License. Except for the Security Interest, Seller has good and valid title to the License, free and clear of all Encumbrances.

Title to License. Seller applied for and obtained the License in compliance with the Communications Act of 1934, as amended, and the rules and regulations of the FCC promulgated thereunder. Seller now holds, and on the Closing Date (as hereinafter defined) will hold, the License, which has been validly issued to Seller by order of the FCC and which shall have become a Final Order (as hereinafter defined), free and clear of any and all Liens. Subject to obtaining those consents and approvals listed on SCHEDULE 3(F) hereto, Seller has all right, power, authority and capacity to assign the License to Buyer and, at the Closing, Seller will transfer to Buyer good and marketable title to the License, free and clear of any and all Liens. No person other than Seller has a legal or beneficial ownership interest in the License or the proceeds of the purchase and sale contemplated hereby. Neither Seller nor its partners is now, and except for the agreements between Buyer and Seller relating to the management and operation of the System under the License prior to Closing contemplated under Article 5(d) hereof, will at Closing be, a party to or bound by any contract, agreement or understanding relating to the License or the construction, ownership, operation or management of a cellular telephone system in the RSA.
Title to License. Biotherapies has all ownership and/or license rights necessary to perform its obligations and grant the Company License contained in this Agreement, and the License is in good standing in all material respects.

  • Title to Intellectual Property a) All right, title and interest in and to Foreground Intellectual Property prepared, conceived or developed by the Supplier/Service Provider, its researchers, agents and employees shall vest in Transnet and the Supplier/Service Provider acknowledges that it has no claim of any nature in and to the Foreground Intellectual Property. The Supplier/Service Provider shall not at any time during or after the termination or cancellation of this Agreement dispute the validity or enforceability of such Foreground Intellectual Property, or cause to be done any act or anything contesting or in any way impairing or tending to impair any part of that right, title and interest to any of the Foreground Intellectual Property and shall not counsel or assist any person to do so.

  • Title to Improvements Any improvements, developments, adaptations and/or modifications to the Foreground Intellectual Property, and any and all new inventions or discoveries, based on or resulting from the use of Transnet’s Background Intellectual Property and/or Confidential Information shall be exclusively owned by Transnet. The Supplier/Service Provider shall disclose promptly to Transnet all such improvements, developments, adaptations and/or modifications, inventions or discoveries. The Supplier/Service Provider hereby undertakes to sign all documents and do all things as may be necessary to effect, record and perfect the assignment of such improvements, developments, adaptations and/or modifications, inventions or discoveries to Transnet and the Supplier/Service Provider shall reasonably assist Transnet in attaining, maintaining or documenting ownership and/or protection of the improved Foreground Intellectual Property.

  • Title to Property The Company and its Subsidiaries have good and marketable title in fee simple to all real property and good and marketable title to all personal property owned by them which is material to the business of the Company and its Subsidiaries, in each case free and clear of all liens, encumbrances and defects except such as are described in Schedule 3(t) or such as would not have a Material Adverse Effect. The Clairol Entities, Seller and the Seller Entities, as applicable, have good and insurable fee title to all Owned Property and have good and valid title to the leasehold estates in all Leased Property (an Owned Property or Leased Property being sometimes referred to herein, individually, as a "COMPANY PROPERTY"), in each case free and clear of all mortgages, Liens, leases, assignments, subleases, easements, covenants, rights-of-way and other similar restrictions of any nature whatsoever, except (1) such as are set forth in Section 4.10 of the Seller Disclosure Schedule; (2) leases, subleases and similar agreements set forth in Section 4.12 of the Seller Disclosure Schedule; (3) Permitted Liens; (4) easements, covenants, rights-of-way and other similar restrictions of record; (5) (A) zoning, building and other similar restrictions, (B) mortgages, Liens, easements, covenants, rights-of-way and other similar restrictions that have been placed by any developer, landlord or other third party on property over which the Clairol Entities, Seller or the Asset Selling Entities, as applicable, have easement rights or on any Company Property and subordination or similar agreements relating thereto, and (C) unrecorded easements, covenants, rights-of-way and other similar restrictions, none of which items set forth in clause (5), individually or in the aggregate, materially impairs the continued use and operation of the property to which they relate in the Acquired Business.
