Termination of Employment in Connection with Change in Control. If Executive’s employment is terminated by Company without Cause or by Executive for Good Reason within two years after a Change in Control or within 6 months prior to a Change in Control, then (1) the amount of severance payable to Executive pursuant to Section 4.1(e) (or, as the case may be, the amount remaining to be paid to Executive at the time of a Change in Control occurring within 6 months after the termination of Executive’s employment) will be payable to Executive in a single sum cash payment on the 60th day following his termination of employment (or, if Executive’s employment terminated before the Change in Control, on the later of the date of the Change in Control or the date which is 60 days after the date Executive’s employment terminated); and (2) any stock options and stock appreciation rights that are outstanding at the time of such termination of employment will remain exercisable for at least three years following the date on which the Change in Control occurs or, if later, the date Executive’s employment terminates (but in no event later than the stated expiration date of such option or stock appreciation right).

Termination of Employment in Connection with Change in Control. Subject to Section 5 below, if a Change in Control is consummated during the Term of this Agreement and within eighteen months immediately following such Change in Control, Executive either (i) is terminated without Cause or (ii) resigns for Good Reason, then the Company shall pay Executive as follows: (i) a lump sum payment equal to twelve months of Executive's Annual Salary, which such sum shall be paid upon Executive's termination date; (ii) a lump sum payment equal to 100% of Executive's annual target bonus established by the Company's Compensation Committee for the year in which Executive's employment was terminated, regardless of whether the bonus goals for such year have been met; which sum shall be paid upon Executive's termination date; (iii) a pro rated share of Executive's annual target bonus established by the Company's Compensation Committee for the year in which Executive's employment was terminated (pro rated up to the termination date), which amount shall be paid at such time as the Company regularly pays bonuses, provided that it is paid no later than 21/2 months following the calendar year in which the termination occurs, and (iv) a lump sum amount equal to the cost of twelve months of health care continuation coverage, which such sum shall be paid upon Executive's termination date. Notwithstanding the foregoing, "Good Reason" shall only be found to exist if the Executive has provided 30 days written notice to the Company prior to his resignation indicating and describing the event resulting in such Good Reason, and the Company does not cure such event within 90 days following the receipt of such notice from Executive.

  • Involuntary Termination in Connection with a Change in Control Notwithstanding anything contained herein, in the event of an Involuntary Termination prior to a Change in Control, if the Involuntary Termination (1) was at the request of a third party who has taken steps reasonably calculated to effect such Change in Control or (2) otherwise arose in connection with or in anticipation of such Change in Control, then the Executive shall, in lieu of the payments described in Section 4 hereof, be entitled to the Post-Change in Control Severance Payment and the additional benefits described in this Section 5 as if such Involuntary Termination had occurred within two (2) years following the Change in Control. The amounts specified in Section 5 that are to be paid under this Section 5(h) shall be reduced by any amount previously paid under Section 4. The amounts to be paid under this Section 5(h) shall be paid within sixty (60) days after the Change in Control Date of such Change in Control.
