Stock Option Agreement. Each grant of an Option under the Plan shall be evidenced by a Stock Option Agreement between the Optionee and the Company. Such Option shall be subject to all applicable terms of the Plan and may be subject to any other terms that are not inconsistent with the Plan. The Stock Option Agreement shall specify whether the Option is an ISO or an NSO. The provisions of the various Stock Option Agreements entered into under the Plan need not be identical. Options may be granted in consideration of a reduction in the Optionee’s other compensation.
Stock Option Agreement. In addition to the salary hereinabove provided, the Executive shall be granted options to purchase 25,000 shares of the Corporation's Common Stock as of January 1 of each year during the Term of this Agreement at an exercise price equal to to average of the closing bid and asked price of the Corporation's Common Stock during month of December immediately preceeding said January 1, pursuant to the terms of the Stock Option Agreement between the Corporation and the Executive executed concurrently herewith.
Stock Option Agreement. As a condition and inducement to Parent's willingness to enter into this Plan, the Company is entering into a Stock Option Agreement dated as of the date hereof in the form of Annex 1 hereto (the "Stock Option Agreement") with Parent pursuant to which the Company has granted to Parent an option to purchase shares of Company Common Stock.

Stock Option Agreement. To induce Parent to execute this Agreement, the Company has executed and delivered to Parent as of the date hereof a Stock Option Agreement in the form attached hereto as Exhibit E (the "Stock Option Agreement"), pursuant to which the Company has granted to Parent an option to acquire from the Company such number of shares of Company Common Stock as equals 19.9% of the aggregate number of outstanding shares of Company Common Stock at an exercise price equal to $60.00 per share.
