Stock Bonus Award. If the Succession Date is before December 31, 2002, then the Company shall award to Executive, within 10 days after the Succession Date, a Stock Bonus (as defined in the Company's Restated and Amended 1994 Stock Incentive Plan) consisting of so many shares of common stock of the Company ("Common Stock") as equals $50,000 divided by the average of the high and low publicly reported prices of Common Stock on the fifth trading day after the Succession Date.

Stock Bonus Award. The undersigned has been awarded a Stock Bonus Award consisting of fully vested shares of Common Stock, which will be issued on March 12, 2019 (the “Stock Bonus Award”). The undersigned is required to pay to the Company the amount of any required withholding taxes (the “Withholding Obligation”) in respect of such Stock Bonus Award. 2.
Stock Bonus Award. Subject to the terms and conditions of this Agreement, the Company hereby grants to Participant shares of the Company’s common stock pursuant to Section 8(a) of the Plan (the “Restricted Shares”). The Restricted Shares are subject to forfeiture to the Company as set forth in Section 2 below. Stock Bonus Award. During the term of this Agreement, in addition to other compensation to be paid under this Section 4, the Employers agree to award the Executive with an annual award of $25,000.00 payable in shares of company stock. Such Stock Bonus Award shall be paid in accordance with Section 409A of the Internal Revenue Code of 1986, as amended, and the regulations promulgated thereunder to qualify as a short-term deferral, as that term is defined under Section 409A.

  • Stock Bonus For each fiscal year of Company in which the net profits of Company exceed Two Hundred Fifty Thousand ($250,000) Dollars or the net profits of Company for that fiscal year exceed the net profits of Company for the previous fiscal year by Fifteen (15%) percent, whichever is less the Company agrees to transfer to Executive each year during the term of Executive Employment, within one (1) month after the close of each fiscal year during all of which the Executive served as Vice President of the Company, the number of shares of Company's stock equal in value to Seventy-Five Thousand ($75,000) Dollars. For the purpose of determining the number of shares to be transferred to Executive, the shares shall be valued, as of the close of each fiscal year, under one of the following formulas:

  • Performance Share Award If your Award includes a Performance Share Award, and you voluntarily terminate your employment prior to the end of the Performance Period, you will forfeit your entire Performance Share Award. 

  • Performance Share Awards On the Performance Share Vesting Date next following the Executive's date of death, the number of Performance Shares that shall become Vested Performance Shares shall be determined by multiplying (a) that number of shares of Company Common Stock subject to the Performance Share Agreement that would have become Vested Performance Shares had no such termination occurred; provided, however, in no case shall the number of Performance Shares that become Vested Performance Shares exceed 100% of the Target Number of Performance Shares set forth in the Performance Share Agreement, by (b) the ratio of the number of full months of the Executive's employment with the Company during the Performance Period (as defined in the Performance Share Agreement) to the number of full months contained in the Performance Period. Vested Common Shares shall be issued in settlement of such Vested Performance Shares on the Settlement Date next following the Executive’s date of death.

  • Performance Share Units The Committee may, in its discretion, grant to Executive performance share units subject to performance vesting conditions (collectively, the “Performance Units”), which shall be subject to restrictions on their sale as set forth in the Plan and an associated Performance Unit Grant Letter.

All granted PSUs shall vest as provided in the applicable PSU grant notice and grant agreement (“PSU Agreement”). All PSUs shall be subject to the terms and conditions of the Incentive Plan and a PSU Agreement in a form prescribed by the Company, which Executive must sign as a condition to receiving the PSUs.

  • Performance Units Subject to the limitations set forth in paragraph (c) hereof, the Committee may in its discretion grant Performance Units to any Eligible Person and shall evidence such grant in an Award Agreement that is delivered to the Participant which sets forth the terms and conditions of the Award.
