Special Power. (1) Whenever it is provided in any employment contract that any act or thing may be done by an Actor at the option of or with the consent of or at the request of Equity, or on the demand of or with the consent of such Actor, Equity, representing the Actor, has and is given the authority to act for and in place of the Actor and to assert the Actor’s position or make the Actor’s request or demand as the case may be, with all of the power and authority of the Actor, without liability to itself.

Special Power. The foregoing grant of authority. * Is a special grant of attorney, coupled with an interest, is irrevocable, and shall survive the dissolution of the Limited Partner; * May be exercised by the General Partner for the Limited Partner by facsimile signature of the General Partner, or by listing the Limited Partner and executing any instrument with a single signature of the General Partner for all of them; and * Will survive the transfer of a permitted assignment by the Limited Partner of the whole or any portion of a Limited Partner's interest in Superhighway Partners L.P.

The Company is duly qualified or licensed to do business as a foreign corporation and is in good standing in every jurisdiction in which the character or location of its properties and assets owned, leased or operated by the Company or the nature of the business conducted by the Company requires such qualification or licensing, except where the failure to be so qualified, licensed or in good standing in such other jurisdiction could not, individually or in the aggregate, have a Material Adverse Effect (as defined herein) on the Company. The Company has heretofore delivered to the Investors complete and accurate copies of its Articles of Incorporation and Bylaws, as currently in effect. The Company has previously delivered to the Investors a complete and accurate list of all jurisdictions in which the Company is qualified or licensed to do business as of the date hereof.
