Seller's Further Representations and Warranties. Seller further represents, covenants, and warrants to Buyer that: Seller is duly organized and validly existing under the laws of and all of Seller’s Facility or Facilities meet the requirements of a Qualifying Facility under applicable FERC regulations. Authority. Seller (i) has the power and authority to own and operate its businesses and properties, to own or lease the property it occupies and to conduct the business in which it currently engaged and (ii) is duly qualified and in good standing under the laws of each jurisdiction where its ownership, lease or operation of property or the conduct of its business requires such qualification. No Contravention. The execution, delivery, performance and observance by Seller of its obligations hereunder do not: (i) contravene, conflict with or violate any provision of any material Requirements of Law presently in effect having applicability to either Seller or any Affiliate of Seller; (ii) require the consent or approval of or material filing or registration with any Governmental Authority or other person other than such consents and approvals which have been obtained or are expected to be obtained in due course; or (iii) result in a breach of or constitute a default under any provision of any security issued by Seller or any Affiliate of Seller or any material agreement, instrument or undertaking to which either Seller or any Affiliate of Seller is a party or by which the property of Seller or any Affiliate of Seller is bound.
