Required Facility Documents. Seller shall maintain in full force and effect and available for inspection by Buyer during the Term all Required Facility Documents now or hereafter required.
Required Facility Documents. All Required Facility Documents are set forth in Exhibit C attached hereto. To Seller’s knowledge, no unusual or burdensome conditions are expected by Seller to be placed upon, or created by, any of the Required Facility Documents. The anticipated use of the Facility complies with all applicable restrictive covenants affecting the Premises and all Requirements of Law. The representation made in this Section 3.2.8 shall be deemed to be given throughout the entire Term.

Pursuant to the Required Facility Documents, Seller holds as of the Effective Date, or will hold by the Commercial Operation Date (or such other later date as may be specified under Requirements of Law), and will maintain for the Term all Required Facility Documents. The anticipated use of the Facility complies with all applicable restrictive covenants affecting the Premises. Following the Commercial Operation Date, Seller shall promptly notify PacifiCorp of any additional Required Facility Documents.

Following the Commercial Operation Date, Seller shall notify PacifiCorp of any additional material consent or approval that is required for the operation and maintenance of the Facility promptly after Seller makes any such determination.

Seller holds as of the Effective Date, or will hold by the Commercial Operation Date (or such other date as may be specified under applicable Requirements of Law), and will maintain throughout the Term all Required Facility Documents. Attached hereto as Exhibit S is a true, correct and complete copy of the Generation Interconnection Agreement. If at any time after the Execution Date the Generation Interconnection Agreement should be amended and restated, amended, supplemented or otherwise modified, then Seller shall promptly deliver to PacifiCorp a true, correct and complete copy of the same, which will automatically be deemed incorporated into Exhibit S effective upon receipt by PacifiCorp. If reasonably requested by PacifiCorp, Seller shall provide copies of any or all other Required Facility Documents.
Required Facility Documents. All Required Facility Documents are listed on Exhibit 3.2.9, are held by MMC and are valid and in full force and effect with any applicable appeal periods having expired. Pursuant to the Required Facility Documents, MMC holds as of the Effective Date, or will hold by the Commercial Operation Date, and covenants that it will hold during the Term, all rights and entitlements necessary to own and operate the Facility and to perform its duties under and deliver Net Output to PPM in accordance with this Agreement. No unusual or burdensome conditions are expected by MMC to be placed upon, or created by, any of the Required Facility Documents and the anticipated operation of the Facility complies with all applicable restrictive covenants affecting the Premises and all Requirements of Law.

Pursuant to the Required Facility Documents listed in Part 1 of Exhibit 3.2, Seller holds all material rights and entitlements necessary to construct, own and operate the Project other than the rights and entitlements listed in Part 2 of Exhibit 3.2. Seller expects to receive in due course the rights and entitlements that are listed in Part 2 of Exhibit 3.2.
