The UNIVERSITY shall perform and render as an independent contractor and not as an agent, representative, or employee of the DISTRICT, all the services described herein in a proper and satisfactory manner as determined by the DISTRICT after consultation with the Contract Manager or his designee. The UNIVERSITY services shall be known as the project and shall include those services identified in the attached document A entitled “Scope of Work.”
