Sale of Inventory. Purchaser shall purchase (or shall cause its Affiliates to purchase) the Inventory in separate transactions in accordance with the terms and conditions contained in the Supply Agreement. It is agreed and understood by and between the Parties that the Purchase Price does not include the Inventory.

Sale of Inventory. On the terms and subject to the conditions set forth in this Agreement, at the Closing (as defined below), Seller will sell, convey, transfer and assign to Buyer, and Buyer will purchase and accept from Seller, all right, title and interest in and to all of the Inventory set forth on Exhibit A (collectively, the “Purchased Inventory”), free and clear of any and all liens, encumbrances, claims, charges, security interests, rights of Seller and/or any third party, rights of redemption, equities, and any other restrictions or limitations of any kind or nature whatsoever (collectively, “Liens”).

A sale or lease of Inventory in Borrower's ordinary course of business does not include an exchange or a transfer in partial or total satisfaction of a debt owing by Borrower, nor does it include an exchange for less than reasonably equivalent value.
Sale of Inventory. If this Agreement expires or is terminated other than pursuant to Paragraph 17.2(a) above and other than by the Company pursuant to Paragraph 17.1 above, Licensee shall be entitled, for an additional period of three (3) months only, on a non-exclusive basis, to sell and dispose of its Inventory. Such sales shall be made subject to all of the provisions of this Agreement and to an accounting for and the payment of Sales Royalty thereon. Such accounting and payment shall be due within thirty (30) days after the close of the said three (3) month period. Notwithstanding anything to the contrary herein, in the event that the Company notifies Licensee of its desire to purchase any of the Inventory pursuant hereto, such notice shall apply only to that portion of the Inventory remaining on the date said notice is received by Licensee.
