Payment of Sales Royalty. The Sales Royalty hereunder shall be accounted for and paid quarterly within thirty (30) days after close of each calendar quarter during the term of this Agreement (or portion thereof in the event of prior termination for any reason). The Sales Royalty payable for each accounting and payment period during each Annual Period shall be computed on the basis of Net Sales during such Annual Period, with a credit for any Guaranteed Minimum Royalty and Sales Royalty payments theretofore made to the Company for said Annual Period. Deductions for returns or other authorized credits shall be made in the accounting and payment period in which the exchange is given (and no adjustment shall be made in the period in which the original sale was accounted for).

Payment of Sales Royalty. The Sales Royalty payments hereunder shall be accounted for and paid quarterly within thirty (30) days after the close of each three (3) month period during each License Year, provided the first report will be due on or before December 31, 1999. Payment of the Manufacturing License Override Fee for each resonator shall be due within forty-five (45) days of initial shipment from the manufacturing facility. The Royalty and Sales Royalty payable for each such accounting period during each License Year shall be computed on the basis of gross business volume from the beginning of each License Year through the last day of the most recent accounting period during such year.

  • Payment of Royalty Client will pay to Yanbor a royalty which shall be calculated as follows: Term “licensed period” means the period of one year started when the Agreement is signed or renews. The first license period starts on the day of the Agreement is signed. $0 shall be paid when the Agreement is signed and renews for the next licensed period and $1,000 shall be paid for each installment of OUReports by Client for each instance of Client database/namespace during licensed period. With each royalty payment, Client will submit to Xxxxxx the written report that sets forth the calculation of the amount of the royalty payment.

If the actual royalty payments to Medical School in any calendar year are less than the minimum royalty payment required for that year, Company shall have the right to pay Medical School the difference between the actual royalty payment and the minimum royalty payment in full satisfaction of its obligations under this Section, provided such minimum payment is made to Medical School within sixty (60) days after the conclusion of the calendar year. Waiver of any minimum royalty payment by Medical School shall not be construed as a waiver of any subsequent minimum royalty payment. If Company fails to make any minimum royalty payment within the sixty-day period, such failure shall constitute a material breach of its obligations under this Agreement, and Medical School shall have the right to terminate this Agreement in accordance with Section 8.3.
