Safe Deposit Box Business. All safe deposit box business located at the Branch Offices as of the close of business on the Closing Date (the "Safe Deposit Box Business"). The Safe Deposit Box Business includes, without limitation, safe deposit box contracts, the removable safe deposit boxes (exclusive of the contents of leased safe deposit boxes) and safe deposit stacks in the vault and all keys and combinations thereto.
Safe Deposit Box Business. (a) As of the Effective Time, the Purchaser will assume and discharge the Seller’s obligations with respect to the safe deposit business at the Branch in accordance with the terms and conditions of contracts or rental agreements related to such business, and the Purchaser will maintain all facilities necessary for the use of such safe deposit boxes by persons entitled to use them.
Safe Deposit Box Business. From and after the Effective Time, Buyer agrees to assume and discharge, in the usual course of banking business, the duties and obligations of Seller with respect to all safe deposit boxes located in the Branches, and to maintain all necessary facilities for the use of such boxes by the renters thereof during the period for which such persons have paid rent therefore in advance to Seller, subject to the provisions of the rental agreements between Seller and the respective renters of such boxes. At the Closing, Seller shall provide Buyer with a true and correct list of all Safe Deposit Contracts with respect to the Branches in effect as of the Closing Date, together with the rentals or other amounts paid on such Safe Deposit Contracts and the expiration dates of such Safe Deposit Contracts.
Safe Deposit Box Business. All of Seller’s right, title and interest in and to the safe deposit box business conducted at the Branch (the “Safe Deposit Box Business”);
Safe Deposit Box Business. All of the obligations and liabilities of Seller relating to the Safe Deposit Box Business;
Safe Deposit Box Business. From and after the Effective Time, Purchaser agrees to assume, perform and discharge, in the usual course of conducting a banking business, the duties and obligations of Seller under the Primary P&A Agreement with respect to all safe deposit boxes, if any, of the Transferred Branches (the “Safe Deposit Box Business”) and to maintain all of the necessary facilities for the use of such boxes by the renters thereof during the period for which such boxes have been rented and the rent therefor paid to the Failed Bank, subject to the provisions of the Safe Deposit Contracts between the Failed Bank and the respective renters of such boxes; provided that Purchaser may relocate the safe deposit boxes of any Transferred Branches to any office of Purchaser located in the Failed Bank Assessment Area in which such safe deposit boxes were located. The safe deposit boxes shall be located and maintained in such Failed Bank Assessment Area for a minimum of one (1) year from the Bank Closing Date.
Safe Deposit Box Business. All assets and property, of any kind, character or description related to the safe deposit box business located at the Branch Offices as of the close of business on the Closing Date (the “Safe Deposit Box Business”).
Safe Deposit Box Business. All of the obligations and liabilities of Seller arising after the Closing Date under the Safe Deposit Box Business.

A list of leased safe deposit boxes as of April 13, 2011, is set forth on Schedule D hereto. The Safe Deposit Box Business includes, without limitation, safe deposit box contracts and leases, the removable safe deposit boxes (exclusive of the contents of leased safe deposit boxes) and safe deposit stacks in the vault and all keys and combinations thereto and all prepaid rent for any safe deposit contracts or leases (which prepaid rent shall be prorated between Buyer and Seller as set forth in Section 2.06 of this Agreement).

The Safe Deposit Box Business includes, without limitation, safe deposit box contracts, the removable safe deposit boxes (exclusive of the contents of leased safe deposit boxes) and safe deposit stacks in the vault and all keys and combinations thereto.
