Retail Stores; Company-Controlled Stores. CKI reserves the right to *** However, CKI shall, in connection with the sale, distribution and promotion of Licensed Products through the CKI CONFIDENTIAL TREATMENT Stores, purchase Licensed Products from the Licensee, at mutually agreed upon prices, terms and conditions, provided that Licensee timely produces, ships and delivers such Licensed Products in quantities as may be required by CKI. If (i) Licensee cannot sell or supply any Licensed Products due to a continuing force majeure event or other event outside of Licensee’s reasonable control (i.e., more than thirty calendar days) or (ii) Licensee fails to timely deliver for two consecutive quarters, the products so ordered (other than minor shortages), then during the pendency of such force majeure event or after such failures to deliver, CKI (or its Affiliates) shall have the right to manufacture or have manufactured for it by others, and to sell, distribute and promote such Licensed Products through CKI Stores for the next two years, at which time the provisions hereof shall again apply, CKI shall also require that any such retail stores in the Territory owned or operated by an authorized licensee of CKI shall purchase the Licensed Products from Licensee. Retail Stores; Company-Controlled Stores. CKI reserves the right to use, and to authorize others to use, the Licensed Mxxx upon and/or in connection with the sale and promotion of Licensed Products among other merchandise to consumers at retail in the Territory through mono-brand Cxxxxx Kxxxx stores that are owned or controlled either (i) by CKI or its Affiliates (Affiliates shall include all affiliated entities in which CKI or any PVH affiliated group member has a 50% interest) (“CKI Stores”), or (ii) by third-party licensees of CKI or its Affiliates; in both cases including via E-Commerce and/or M-Commerce via certain Cxxxxx Kxxxx sites or mini sites as referenced herein. Notwithstanding the above, such CKI Stores shall not solely sell the Licensed Products (i.e. they will sell also other product categories under the Licensed Mxxx).

  • State Business Licenses The Servicer or the Certificateholder shall prepare and instruct the Trust to file each state business license (and any renewal thereof) required to be filed under applicable state law without further consent or instruction from the Instructing Party (as defined in the Trust Agreement), including a Sales Finance Company Application (and any renewal thereof) with the Pennsylvania Department of Banking, Licensing Division, and a Financial Regulation Application (and any renewal thereof) with the Maryland Department of Labor, Licensing and Regulation.

  • Minority and Women’s Business Enterprises Compliance Award of this Contract was based, in part, on the Minority and/or Women’s Business Enterprise (“MBE” and/or “WBE”) participation plan as detailed in the Minority and Women’s Business Enterprises Subcontractor Commitment Form, commonly referred to as “Attachment A” in the procurement documentation and incorporated by reference herein. Therefore, any changes to this information during the Contract term must be approved by MWBE Compliance and may require an amendment. It is the State’s expectation that the Contractor will meet the subcontractor commitments during the Contract term. Failure to provide a copy of any subcontractor agreement may be deemed a violation of the rules governing MBE/WBE procurement and may result in sanctions allowable under 25 IAC 5-7-8. Requests for changes must be submitted to XXXXXxxxxxxxxx@xxxx.XX.xxx for review and approval before changing the participation plan submitted in connection with this Contract. The Contractor shall report payments made to Division certified subcontractors under this Contract on a monthly basis using Pay Audit. The Contractor shall notify subcontractors that they must confirm payments received from the Contractor in Pay Audit. The Pay Audit system can be accessed on the IDOA webpage at: xxx.xx.xxx/xxxx/xxxx/xxxxxxxx.xxx. The Contractor may also be required to report Division certified subcontractor payments directly to the Division, as reasonably requested and in the format required by the Division. The Contractor’s failure to comply with the provisions in this clause may be considered a material breach of the Contract.

  • Television Equipment Recycling Program If this Contract is for the purchase or lease of covered television equipment, then Contractor certifies that it is compliance with Subchapter Z, Chapter 361 of the Texas Health and Safety Code related to the Television Equipment Recycling Program.

  • Defined Contribution Plans The Company does not maintain, contribute to or have any liability under (or with respect to) any employee plan which is a tax-qualified "defined contribution plan" (as defined in Section 3(34) of ERISA), whether or not terminated.

  • Pennsylvania Motor Vehicle Sales Finance Act Licenses The Indenture Trustee shall use its best efforts to maintain the effectiveness of all licenses required under the Pennsylvania Motor Vehicle Sales Finance Act in connection with this Indenture and the transactions contemplated hereby until the lien and security interest of this Indenture shall no longer be in effect in accordance with the terms hereof.
