Pennsylvania Motor Vehicle Sales Finance Act Licenses. The Owner Trustee and Indenture Trustee, in their individual capacities, shall use their respective best efforts to maintain, and the Owner Trustee shall cause the Issuer to use its best efforts to obtain within 90 days after the date hereof and to maintain, the effectiveness of all licenses required under the Pennsylvania Motor Vehicle Sales Finance Act in connection with this Agreement and the Basic Documents and the transactions contemplated hereby and thereby until such time as the Issuer shall terminate in accordance with the terms of the Trust Agreement. Servicer shall be responsible for the payment of all fees and expenses of the Issuer, the Owner Trustee and the Indenture Trustee paid by any of them in connection with any of their obligations under the Basic Documents to obtain or maintain any required license under the Pennsylvania Motor Vehicle Sales Finance Act.

  • Security Agreement under Uniform Commercial Code (a) It is the intention of the parties hereto that this Mortgage shall constitute a Security Agreement within the meaning of the Uniform Commercial Code (the “Code”) of the State in which the Mortgaged Property is located.
