In the event that such proceeds are insufficient for such purpose and any beneficiary, creditor or mortgagee under a deed of trust, security agreement or mortgage should require that the insurance proceeds payable upon damage to or destruction of the Building or Premises by fire or other casualty be used to retire or apply on the debt secured by such deed of trust, security agreement or mortgage, or in the event any lessor under any underlying ground lease should require that such proceeds be paid to such lessor, Landlord shall, in such event, have no obligation to repair or rebuild such damage and at Landlord's election, this Lease shall terminate upon Landlord's furnishing Tenant written notice of Landlord's election to terminate.

The Mortgage Loan, as assumed, shall conform in all respects to the requirements, representations and warranties of this Agreement. The Servicer shall notify the Owner that any such assumption or substitution agreement has been contemplated by forwarding to the Owner the original copy of such assumption or substitution agreement (indicating the Mortgage File to which it relates) which copy shall be added by the Owner to the related Mortgage File and which shall, for all purposes, be considered part of such Mortgage File to the same extent as all other documents and instruments constituting a part thereof.
