Required Officers. The officers of the Company shall be elected by the Member and shall include a President and a Secretary. The Members may also elect a Chief Financial Officer, one or more Vice Presidents and a Treasurer. Any number of offices may be held by the same person, unless this Agreement otherwise provides. The officers of the Company shall be as set forth in Exhibit A hereto, as may be modified from time to time in writing by the Member.
Required Officers. The corporation shall have one or more natural persons exercising the functions of the offices, however designated, of Chief Executive Officer and Chief Financial Officer.

The Board shall elect Required Officers: (1) at the reorganizational meeting immediately after the Annual Member Meeting and if not possible or convenient, then at the first Regular Board Meeting following the Annual Member Meeting;

Section 11.10 delegates to the Secretary, if such office be created and filled, the required responsibility of preparing minutes of the Management Committee’s and Members’ meetings and for authenticating records of the Company. if such office shall not be created and filled, then the Membership Committee shall delegate to one of the officers of the Company such responsibility.
