Representations and Warranties of Idenix. Idenix US and Idenix Cayman hereby jointly and severally represent and warrant, as of the Effective Date, to Novartis as follows; provided, however, that, the Parties agree and acknowledge that Idenix Cayman is not a party to the Stockholders Agreement and that the representations and warranties below shall not be construed as applying to Idenix Cayman with respect to the Stockholders Agreement:
Representations and Warranties of Idenix. Idenix represents and warrants that it is fully authorized to enter into this Agreement and that by entering into this Agreement Idenix is not in breach of any provision of any other agreement. Idenix further represents and warrants that it has, prior to the Effective Date, maintained in confidence the Microbiologica Technology.

Representations and Warranties of Idenix. Except as disclosed by Idenix in a written Disclosure Schedule delivered by Idenix to GSK on or prior to the date hereof (the “Disclosure Schedule”), which Disclosure Schedules shall be deemed a part hereof, Idenix hereby represents and warrants to GSK that the statements contained in this Section 5 are complete and accurate as of the Execution Date and shall be complete and accurate as of the Closing Date (or such other date as is specified below). The Disclosure Schedule shall be arranged in sections corresponding to the numbered and lettered sections and subsections contained in this Section 5, and the disclosures in any section or subsection of the Disclosure Schedule shall qualify other sections and subsections in this Section 5 to the extent it is reasonably clear from a reading of the disclosure that such disclosure is applicable to such other sections and subsections.
