Organization, Good Standing and Qualification Clause Samples
The 'Organization, Good Standing and Qualification' clause serves to confirm that a party to the agreement is a legally established entity, properly registered, and authorized to conduct business in its jurisdiction. Typically, this clause requires the party to affirm that it has been duly organized under the laws of its state or country, is in good standing with relevant authorities, and possesses all necessary qualifications to operate its business. By including this clause, the agreement ensures that each party is legitimate and capable of fulfilling its contractual obligations, thereby reducing the risk of dealing with unqualified or non-compliant entities.
