Remaking of Representations and Warranties. Each Party covenants that it will cause its respective representations and warranties in Sections 7.1 and 7.2 to remain true and correct throughout the Contract Term.

All representations and warranties contained in the Loan Agreement, as amended and modified by this Second Amendment, and all of the other Loan Documents, are true, accurate, and complete as of the date hereof and shall be deemed continuing representations and warranties so long as the Revolving Credit Facility shall remain outstanding. Remaking of Representations and Warranties. The Sunrise Parties hereby certify as of the date hereof that all of the representations and warranties set forth in the Existing Loan Agreement and the Existing Loan Documents to which each is a party are true and correct in all material respects as if remade as of the date hereof, except as set forth on Schedule IV of this Amendment. Notwithstanding the foregoing, all representations and warranties relating to the corporate power and authority of the Dissolved Entities, along with those representations and warranties set forth in Sections 5.22(h) and (i) of the Existing Loan Agreement (collectively, the “Dissolution Reps”), are qualified by the Sunrise Parties’ disclosure of the Dissolution and Winding Up Process. To the extent that, due to such Dissolution and Winding Up Process, such representations and warranties with regard to the Dissolved Entities (including the Dissolution Reps) are incorrect after December 31, 2009 in a material respect with regard to the corporate power and authority of the Dissolved Entities, it shall not constitute a Default or Event of Default hereunder.

All representations and warranties contained in the Loan Agreement, as amended and modified by this Fifth Amendment and the Guaranty Supplement No. 2, and all of the other Loan Documents as amended and modified up through this Fifth Amendment and the First Allonge, are true, accurate, and complete as of the date hereof and shall be deemed continuing representations and warranties so long as the Revolving Credit Facility shall remain outstanding.
Remaking of Representations and Warranties. All representations and warranties made by Debtor in Section 4.01 shall be deemed to be remade by Debtor each time that CIT makes a Loan to Debtor and each time that CIT makes a disbursement under any Loan to Debtor.
