Referee Assignor. The Tournament Referee Assignor must be at least twenty-one (21) years of age, be licensed as a US Soccer (USSF) Referee Assignor in Illinois, must have passed the required IYSA Background Search, submitted he Heads Up Concussion in Youth Sports Completion Certificate, submitted the current annual US Center for Safe Sport Training Completion Certificate, and is in good standing with Illinois Soccer Referee Committee (ISRC), IYSA, ISSA, USSF at the time of this Tournament. The Referee Assignor must ensure that any referee aged 18 or older has passed the required IYSA Background Search, submitted the Heads Up Concussion Completion Certificate and the current annual US Center for Safe Sport Training Completion Certificate. The Referee Assignor must only assign referees who are currently US Soccer licensed and are in good standing with the IYSA, ISSA, ISRC, USSF at the time of this Tournament. The use of “out of state” or foreign referees must be approved by the ISRC prior the tournament, as those referees must be in compliance with ISRC risk management policies and must be on good standing with the state referee committee with which they are registered. The Tournament Referee Assignor(s) must attend the annual IYSA Tournament Referee Assignors Meeting. It is highly recommended that the Tournament Director and the Tournament’s Referee Assignor not be the same person. The Tournament Referee Assignor must collect and maintain the IYSA Medical Release & Liability Waiver for all referees in the Tournament. The Tournament Referee Assignor shall abide by the Illinois and Federal Child Labor Laws.

  • Assignor The Assignor (a) represents and warrants that (i) it is the legal and beneficial owner of the Assigned Interest, (ii) the Assigned Interest is free and clear of any lien, encumbrance or other adverse claim and (iii) it has full power and authority, and has taken all action necessary, to execute and deliver this Assignment and Assumption and to consummate the transactions contemplated hereby; and (b) assumes no responsibility with respect to (i) any statements, warranties or representations made in or in connection with the Credit Agreement or any other Loan Document, (ii) the execution, legality, validity, enforceability, genuineness, sufficiency or value of the Loan Documents or any collateral thereunder, (iii) the financial condition of the Borrower, any of its Subsidiaries or Affiliates or any other Person obligated in respect of any Loan Document or (iv) the performance or observance by the Borrower, any of its Subsidiaries or Affiliates or any other Person of any of their respective obligations under any Loan Document.

  • Non-Assignment This Agreement shall not be assigned by either party without the written consent of the other party.

  • Successor Administrative Agent The Administrative Agent may resign as Administrative Agent upon 10 days’ notice to the Lenders and the Borrower. If the Administrative Agent shall resign as Administrative Agent under this Agreement and the other Loan Documents, then the Required Lenders shall appoint from among the Lenders a successor agent for the Lenders, which successor agent shall (unless an Event of Default under Section 8(a) or Section 8(f) with respect to the Borrower shall have occurred and be continuing) be subject to approval by the Borrower (which approval shall not be unreasonably withheld or delayed), whereupon such successor agent shall succeed to the rights, powers and duties of the Administrative Agent, and the term “Administrative Agent” shall mean such successor agent effective upon such appointment and approval, and the former Administrative Agent’s rights, powers and duties as Administrative Agent shall be terminated, without any other or further act or deed on the part of such former Administrative Agent or any of the parties to this Agreement or any holders of the Revolving Loans. If no successor agent has accepted appointment as Administrative Agent by the date that is 10 days following a retiring Administrative Agent’s notice of resignation, the retiring Administrative Agent’s resignation shall nevertheless thereupon become effective, and the Lenders shall assume and perform all of the duties of the Administrative Agent hereunder until such time, if any, as the Required Lenders appoint a successor agent as provided for above. After any retiring Administrative Agent’s resignation as Administrative Agent, the provisions of this Section 9 shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Administrative Agent under this Agreement and the other Loan Documents.

  • Teaching Assignments No employee shall be assigned to teach in a grade level and/or subject area not within the scope of his/her teaching certificate, except where a position within his/her certification is unavailable or when mutually agreed to by the affected employee and principal, or when determined necessary by the principal. Employees assigned to positions outside the scope of their certificates shall be assigned as soon as possible to positions for which they hold certification.

  • Delegation; Assignment PFPC may assign its rights and delegate its duties hereunder to any wholly-owned direct or indirect subsidiary of PNC Bank, National Association or PNC Bank Corp., provided that (i) PFPC gives the Fund thirty (30) days' prior written notice; (ii) the delegate (or assignee) agrees with PFPC and the Fund to comply with all relevant provisions of the 1940 Act; and (iii) PFPC and such delegate (or assignee) promptly provide such information as the Fund may request, and respond to such questions as the Fund may ask, relative to the delegation (or assignment), including (without limitation) the capabilities of the delegate (or assignee).
