The Assignor shall not be liable for the warranties, representations, undertakings or any other obligations given or assumed by the Assignee toward any party whomsoever with respect to the manufacturing, promotion, distribution, use or sale of any product and services or any other activity relating thereto or to the Technology.
No claims are pending against the Assignor or any other user of the Leased Premises, or by any other person, for which the Assignee or the Leased Premises may be liable after the Effective Date.
Without limiting the generality of the foregoing, the Assignor does not guarantee the validity of the patent applications or patents protecting the Invention and makes no representation with respect to their scope and validity.
The Assignor and Assignee will sign all the necessary documents to amend the Patent Application to reflect the assignment of the Technology, as described in Section 2.1 of this Agreement, in the United States Patent and Trademark records, and any other national records where an application relating to the Technology may have been filed, within three days from the receipt by the Assignor of the consideration set forth in Section 2.2 of this Agreement.
