Receipt of Certificate. The Administrative Agent shall have received at least 15 days prior to the date of the Xxxxxx Plant Disposition a certificate as described in clause (f) of Section 8.5 of the Amended Credit Agreement.
Receipt of Certificate. The Lender shall have received its completed form borrowing base certificate from Borrowers upon any request for a Revolving Loan, which shall be executed as specified in Article Two of this Agreement. ARTICLE SEVEN.

The Bank shall have received on or before the Term Loan Commencement Date a certificate of an Authority Representative dated such Term Loan Commencement Date as to compliance with clauses (a) and (c) of this Section 3.3 to be substantially in the form of Exhibit E attached hereto.

MergerCo shall have received a certificate signed on behalf of the Company by a senior executive officer of the Company to the effect set forth in subparagraphs (1) and (2) above. (4) Consents, Etc. MergerCo shall have received evidence, in form and substance reasonably satisfactory to it, that such licenses, permits, consents, approvals, authorizations, qualifications and orders of Governmental Entities and other third parties (including outstanding indebtedness) as are necessary in connection with the transactions contemplated hereby have been obtained, except where the failure to obtain such licenses, permits, consents, approvals, authorizations, qualifications and orders (other than with respect to foreign antitrust or other similar laws) do not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. Receipt of Certificate. Contemporaneously with the execution and delivery hereof, Seller will deliver to Purchaser a certificate, in form reasonably acceptable to Purchaser, that shall be executed by an officer of Seller, to the effect that (a) execution, delivery and performance of this Agreement has been duly authorized by Seller (such certificate to contain the text of Seller's authorizing Board resolution), and (b) the individual who actually executes this Agreement for Seller is authorized so to sign (such certificate shall also certify as to a specimen signature of the person executing this Agreement on behalf of Seller).
Receipt of Certificate. Upon signature of this Agreement the Subscriber confirms receipt of the electronic certificate. 4 Implementation of the Agreement Registration authorities represent Auðkenni in matters relating to this Agreement. Registration authorities are responsible for verification of the Subscriber‘s identity and delivery of the electronic certificate to the Subscriber, but they neither sign nor issue the certificate.
