Proprietary Information and Non-Competition Agreements. The Company will not employ, or continue to employ, any person who will have access to confidential information with respect to the Company and its operations unless such person has executed and delivered a Proprietary Information and Non-Competition Agreement to the satisfaction (as to substance and form) of the Board of Directors.

Executive shall be bound by the terms of the Company’s standard form of the Key Employee Proprietary Information and Inventions Agreement, attached hereto as Exhibit A, and the Non-Competition and Non-Solicitation Agreement, attached hereto as Exhibit B, from and after the date hereof.

The Company, its wholly owned and controlled subsidiaries will not employ, or continue to employ or otherwise engage the services of, any person whether or not such person has or will have access to confidential information with respect to the Company and such subsidiaries and their respective operations, unless such person has executed and delivered a Proprietary Information and Non-Competition Agreement in a form approved by the Company’s management from time to time. For the sake of clarification, this Section 3.5 shall not apply to any non-executive members of the Board.
Proprietary Information and Non-Competition Agreements. The Company will require each person employed by the Company in a technical or management position, whether at present or in the future, to execute a Proprietary Information Agreement in the Company's standard form, as a condition of such employment. The Company will also require certain key employees to enter into non-competition agreements as a condition of their continued employment.

Each employee, consultant, founder and/or officer of the Company and any person who will have access to confidential information with respect to the Company and its operations has signed or will sign a non-disclosure and proprietary rights agreement protecting the Company’s rights, in the customary form utilized by the Company, acceptable to Company’s Chief Executive Officer; any material deviation from the customary form of Company’s non-disclosure and proprietary rights agreement be approved by the Board of Directors.
Proprietary Information and Non-Competition Agreements. The Company will not employ, or continue to employ, any Person (as defined below), whether as an employee, consultant, contractor or otherwise, who may have access to confidential information of the Company, or confidential information with respect to the Company, its operations, assets, financial condition or affairs or confidential information of third parties provided in confidence to the Company, unless such Person has executed and delivered a Proprietary Information, Invention Assignment and Non-Competition Agreement to the satisfaction (as to substance and form) of the Board, pursuant to which such Person undertakes to maintain the confidentiality of all such information and agrees to assign to the Company its full title and interest in all the work product of such Person relating to or that arise in the course of its employment or engagement by the Company.

Buyer and each employee of the Company shall have entered into a Proprietary Information and Non-Competition Agreement in the form attached hereto as Exhibit C (the “Proprietary Information and Non-Competition Agreements”), and such agreement shall be in full force and effect at and as of the Closing, without amendment or modification.
