PROCESSING SOFTWARE. ‌ (a) Client shall receive a limited, non-exclusive, non-transferable license to use the software required for the Remote Deposit Capture Service (“Processing Software”) solely for the term of the Remote Deposit Capture Service, and solely for the purposes set forth herein. (b) Client may only use the Processing Software on Equipment approved by Bank, or processing equipment specifically approved in writing by Bank and at the location designated by Client located in the United States and reasonably approved by Bank in writing. (c) Client understands that it shall only receive an object code version of the Processing Software, and not a source code version and Client further agrees that in no event shall it reverse engineer or decompile the object code of the Processing Software, or otherwise attempt to discover the source code. (d) Client shall have no right to transfer the Processing Software or to make it available, in any format, to any third party, nor shall Client have the right to copy, publish or make derivative works of the Processing Software except as expressly permitted by Bank in writing. In addition, Client is not permitted to make any copies of the Processing Software for any purpose, including backup or archival. In the event that the Processing Software becomes corrupted or is otherwise deleted, disabled or damaged, then only Bank personnel or its authorized agents may reload or restore the Processing Software to the Equipment. Client may not load the Processing Software onto any computer except the Equipment without the express written permission of Bank, which shall be given in Bank’s sole discretion. Client may make only the number of copies of the documentation related to the Processing Software (“Documentation”) as is necessary for each Authorized Party to have one copy. (e) Client shall not remove, alter or destroy any form of copyright notice, proprietary marking or confidential legend placed upon or contained within the Documentation, the Processing Software or any screen that the Processing Software causes to be displayed. All such notices, markings and legends must be included or reproduced on or in any copies made. (f) Bank warrants to Client that it either has ownership of Equipment and the Processing Software, or has a right to grant the licenses herein. PROCESSING SOFTWARE. Once the data has been collected and accepted in the field, it is transferred to Fugro’s production center for processing. Fugro has chosen the state-of-the-art and sophisticated software package, PictoVeraTM, a robust oblique processing solution developed by Stellacore Corporation to process data. Step 1 PictoVera will ingest the platform trajectory data captured during aerial acquisition (i.e. navigation and camera data). The software analyzes the sensor data and uses the derived information to match sensor features between multiple images (along track, cross track, and above/below track simultaneously). Step 2 The image data matches are utilized as generalized "tie points" in a photogrammetric bundle adjustment which computes "best-fit" corrections to the nominal (drift and otherwise biased) trajectory data. This results in a much higher fidelity trajectory, one with which images can be geo-referenced within about one pixel. Step 3 PictoVera preserves the integrity of the photogrammetric adjustment from the GPS-based acquisition data and uses the planimetric and vertical control to fit the output products to the desired output geodesy. Thus, the effects of the systemic influence on fidelity are lessened. Step 4 The results of the adjustment are further verified through the development of rectified image samples for the platform trajectory. These images are inspected by the photogrammetric technician to identify any gross errors in the adjustment, as well as the identification of any voids or image quality problems.

  • Third Party Software The Software may contain third party software which requires notices and/or additional terms and conditions. Such required Third Party Software notices and/or additional terms and conditions are located at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/▇▇▇▇-third-party/ (or a successor website thereto) and are made a part of and incorporated by reference into this Agreement.

  • Software The Software is licensed to you subject to any terms and conditions presented when you downloaded it from a source authorized by NCR Voyix, as well as those contained in this Agreement. If there is a conflict, this Agreement will control. You are licensed to use the Software only with the Service and with Hardware purchased or subscribed from NCR Voyix or its Resellers. Your license to any Software will end when your subscription to the Service ends. The Software is copyrighted and licensed, not sold, and is NCR Voyix’s confidential and unpublished information. You will retain any copyright notices and proprietary legends on all copies of the Software and the media on which it is delivered. Any attempt to transfer the Software is void and will automatically cause your license to end.

  • Embedded Software To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.

  • Hardware and Software In order to use the Services, you must obtain and maintain, at your expense, compatible mobile hardware and software as specified by Credit Union from time to time. Credit Union is not responsible for any third party software you may need to use the Services. Any such software is accepted by you as is and is subject to the terms and conditions of the software agreement you enter into directly with the third party software provider at time of download and installation.

  • Server Software Subject to the terms and conditions of this ▇▇▇▇, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.
