Private Business Use Limitation. The District shall assure that the proceeds of the Certificates are not used in a manner which would cause any of the obligations of the District under the Lease Agreement to become “private activity bonds” under and within the meaning of Section 141(a) of the Tax Code.

Private Business Use Limitation. The City shall assure that (i) 23 not in excess of 10% of the Net Proceeds of the Series 2020 A Bonds are used for Private 24 Business Use if, in addition, the payment of more than 10% of the principal or 10% of the 25 interest due on such Series 2020 A Bonds during the term thereof is, under the terms of such 26 Bonds or any underlying arrangement, directly or indirectly, secured by any interest in property 27 used or to be used for a Private Business Use or in payments in respect of property used or to be 28 used for a Private Business Use or is to be derived from payments, whether or not to the City, in 29 respect of property or borrowed money used or to be used for a Private Business Use; and (ii) in 30 the event that both (A) in excess of 5% of the Net Proceeds of the Series 2020 A Bonds are used 31 for a Private Business Use, and (B) an amount in excess of 5% of the principal or 5% of the 32 interest due on the Series 2020 A Bonds during the terms thereof is, under the terms of such 33 Series 2020 A Bonds or any underlying arrangement, directly or indirectly, secured by any 34 interest in property used or to be used for said Private Business Use or in payments in respect of 35 property used or to be used for said Private Business Use or is to be derived from payments, 36 whether or not to the Issuer, in respect of property or borrowed money used or to be used for said 37 Private Business Use, then said excess over said 5% of Net Proceeds of the Series 2020 A Bonds 38 used for a Private Business Use shall be used for a Private Business Use related to the 39 governmental use of the System, or if the Series 2020 A Bonds are for the purpose of financing 40 more than one project, a portion of the System, and shall not exceed the proceeds used for the 41 governmental use of that portion of the System to which such Private Business Use is related. All 42 of the foregoing shall be determined as provided for in the Code.
