Power and Authority to Enter Into Agreement. All parties to this Agreement warrant and represent that they have the power and authority to enter into this Agreement in the names, titles, and capacities herein stated and on behalf of any entities, persons, or firms represented or purported to be represented by such entity(ies), person(s), or firm(s) and that all formal requirements necessary or required by any state and/or federal law in order to enter into this Agreement have been fully complied with. Furthermore, by entering into this Agreement, Contractor hereby warrants that it shall not have breached the terms or conditions of any other contract or Agreement to which Contractor is obligated, which breach would have a material effect hereon.
Power and Authority to Enter Into Agreement. Seller has the corporate power and authority to enter into this Agreement and the Transaction Agreements executed by Seller and, subject to the conditions herein and therein provided, to consummate the transactions contemplated hereby and thereby.

Each of the Buying Entities has the corporate power and authority to enter into this Agreement and the Related Agreements to which it is a party and, subject to the conditions provided in this Agreement, to consummate the transactions provided for in this Agreement and such Related Agreements.

Purchaser has all requisite power and authority to execute, deliver, and perform this Agreement and the other agreements contemplated herein to which it is or will be a party, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby.

Buyer has the right, power, legal capacity, and authority to enter into and to and perform its obligations under this Agreement and the Related Documents to which Buyer is a party. Except as set forth in PART 5.2C of the Disclosure Schedule, no consent, approval or authorization of, or registration, declaration, or filing with any governmental authority (federal, state or local, domestic or foreign), collective bargaining unit, lending institution or other third party is required in connection with the execution and delivery by Buyer of this Agreement or any Related Document to which Buyer is a party or its performance of, or compliance with, the terms, provisions and conditions hereof or thereof.
