Partnership Formation. The parties hereby enter into a limited partnership formed pursuant to the provisions of the Revised Limited Partnership Act of the State of California, as enacted and in effect on or after June 1, 1986 ("Act"); and the rights and liabilities of the Partners shall be as provided in the Act and as herein expressly provided. Upon the request of the General Partner, the Limited Partners shall execute promptly all certificates and other documents necessary for the General Partner to accomplish all filings, recordings, publishing and other acts required for the operation of the Partnership pursuant to the provisions of the laws of California. 1.2
