Formation of the Partnership. The Partnership was formed as a limited partnership pursuant to the provisions of the Act and the Original Agreement and continued upon the terms and subject to the conditions set forth in this Agreement. Except as expressly provided herein to the contrary, the rights and obligations of the Partners and administration and termination of the Partnership shall be governed by the Act. The Partnership Interest of each Partner shall be personal property for all purposes.
Formation of the Partnership. In connection with the formation of the Partnership, the General Partner has been admitted as the General Partner of the Partnership and the Initial Limited Partner has been admitted as a Limited Partner as of the date of the Initial Limited Partnership Agreement.

The Partnership was formed as a limited partnership under the Act by the filing of the Certificate of Limited Partnership of the Partnership with the Office of the Secretary of State of the State of Delaware on May 26, 2017. Such action is hereby ratified and confirmed in all respects.

Formation of the Partnership. The General Partners and the Original Limited Partner hereby agree to form and by execution of this Agreement do hereby enter into a limited partnership under the Delaware Act, which Act, as amended, and any successor statutes thereto, shall govern the rights and liabilities of the parties hereto.
Formation of the Partnership. The Partnership was formed on October 12, 2012 in accordance with the laws of the Province of Ontario by the filing of the Declaration and shall continue unless dissolved in accordance with Article 14.
Formation of the Partnership. The General Partner and the Limited Partner intend to form a limited partnership (the “Partnership”) by the filing of a limited partnership declaration pursuant to Limited Partnership Act (Ontario) (the “Act”).
Formation of the Partnership. Formation of the Partnership. In connection with the formation of the Partnership, BBP was admitted as the general partner of the Partnership and BPEG was admitted as a limited partner as of the date of the Initial Limited Partnership Agreement.
