Pandemic Extensions. Notwithstanding anything in Section 6.1(a) above to the contrary, in the event that (i) Buyer, (ii) Seller, (iii) a government entity reasonably necessary to effectuate the Closing (such as an Assistance Provider, or a government entity responsible for recording documents, assessing transfer taxes or issuing transfer stamps); or (iv) any of Buyer’s or Seller’s third party service providers who provide services to Buyer or Seller, or their agents, and is necessary to effectuate the Closing (i.e., the Title Company, the Escrow Agent, any other settlement agent, or Buyer’s or Seller’s attorneys) (each, a “Necessary Third Party”) are delayed, hindered, or prevented from performing any act required under this Agreement or reasonably necessary to effectuate the Closing, by reason of a government or Necessary Third Party closure, delay, or inability to perform because of an outbreak of “COVID-19” or other pandemic, then Buyer or Seller may extend the Closing Date by up to thirty (30) days (a “Pandemic Extension”) by providing written notice to the other Party, in which event, the “Closing Date” shall mean the Closing Date, as so extended by such Pandemic Extension. In the event that either Party cannot effectuate the Closing by reason of a government or Necessary Third Party closure, delay or inability to perform because of an outbreak of such pandemic by the end of a Pandemic Extension, such failure shall not be deemed a default and Buyer or Seller may terminate this Agreement by sending written notice to the other and this Agreement shall be null and void as of the end of such Pandemic Extension and the Deposit then held by Escrow Agent shall be returned to Buyer.

  • Contract Extensions This Contract may be extended on an annual basis beyond the Initial Term if the Local Board successfully meets the terms of the Contract for at least three or more years as determined by the State Board.

  • Contract Extension The City may, in its sole discretion, unilaterally exercise an option to extend the Contract as described in the Contract Documents. In addition, the City may, in its sole discretion, unilaterally extend the Contract on a month-to-month basis following contract expiration if authorized under Charter section 99 and the Contract Documents. Contractor shall not increase its pricing in excess of the percentage increase described in the Contract.

  • Time Extensions 2.03.1 If Contractor requests an extension of time to complete its performance, then the Director, in consultation with the CPO, may, in his or her sole discretion, extend the time so long as the extension does not exceed 90 days.   • Modifications and Rectifications to Coverage 1. A Party may make rectifications of a purely formal nature to its coverage under this Chapter, or minor amendments to its Schedules in Annex XVI, provided that it notifies the other Parties in writing and no Party objects in writing within 45 days from the receipt of the notification. A Party that makes such a rectification or minor amendment need not provide compensatory adjustments to the other Parties.

  • TAM Extension Service The TAM Extension Service is an extension of a Red Hat Enterprise Linux TAM Service to provide additional technical knowledge such as SAP implementations on Red Hat Enterprise Linux. The TAM Extension Service requires a separate active and paid standard TAM Service Subscription.
