OWNER'S COMPANY. 10.3.1. INCORPORATION. Owner may incorporate, create a limitedpartnership or other limited liability organization (collectively "Company") if: the Company's articles or other highest governing documents state that Company'sactivities are confined exclusively to operating one or more licensed businessesin accordance with this Agreement. The Company shall not have more than fifteenshareholders, members or partners, enter agreements affecting control of theCompany or Owner or permit the number of outstanding shares to be increased,transferred, impaired or used as collateral without WPHLI's prior writtenconsent. Owner shall deliver to WPHLI updated copies as changes occur in theCompany's articles, by-laws, minutes, amendments, and the like, and documentswhich identify the Company's shareholders or partners, shares owned, officersand directors. WPHLI may condition its consent to incorporation on, or at anytime require, letters of credit, personal guarantees and releases in a formsatisfactory to WPHLI of all owners, partners, and shareholders for Company'sand Owner's performance hereof. In the event of a disagreement between or amongthe principals, officers, or stockholders of Owner which, in the opinion ofWPHLI, may affect adversely the ownership, operation, management, business, orinterest of Owner's Team or WPHLI; WPHLI may give Owner a demand that Ownerresolve the disagreement to WPHLI's satisfaction within ninety days or suffersame to be deemed a material breach by Owner.

  • Partnership Working 7.1 Partnerships will be supported by local authorities on four levels between:

Local Agency shall not proceed with that part of the Work before obtaining the PUC’s order. Local Agency shall also establish contact with the railroad company involved for the purpose of complying with applicable provisions of 23 C.F.R. 646, subpart B, concerning federal-aid projects involving railroad facilities, and:

  • ARTISTES AND SPORTSMEN 1. Notwithstanding the provisions of Articles 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

  • OWNERS’ ASSOCIATION This Section is applicable if the Property is located within a Common Interest Community and 241 subject to the declaration (Association). 242 7.1. Common Interest Community Disclosure. THE PROPERTY IS LOCATED WITHIN A COMMON 243 INTEREST COMMUNITY AND IS SUBJECT TO THE DECLARATION FOR THE COMMUNITY. THE OWNER OF 244 THE PROPERTY WILL BE REQUIRED TO BE A MEMBER OF THE OWNERS’ ASSOCIATION FOR THE 245 COMMUNITY AND WILL BE SUBJECT TO THE BYLAWS AND RULES AND REGULATIONS OF THE 246 ASSOCIATION. THE DECLARATION, BYLAWS 250 AND RULES AND REGULATIONS OF THE COMMUNITY MAY PROHIBIT THE OWNER FROM MAKING 251 CHANGES TO THE PROPERTY WITHOUT AN ARCHITECTURAL REVIEW BY THE ASSOCIATION (OR A 252 COMMITTEE OF THE ASSOCIATION) AND THE APPROVAL OF THE ASSOCIATION. PURCHASERS OF 253 PROPERTY WITHIN THE COMMON INTEREST COMMUNITY SHOULD INVESTIGATE THE FINANCIAL 254 OBLIGATIONS OF MEMBERS OF THE ASSOCIATION. PURCHASERS SHOULD CAREFULLY READ THE 255 DECLARATION FOR THE COMMUNITY AND THE BYLAWS AND RULES AND REGULATIONS OF THE 256 ASSOCIATION.

  • Operations Fire An “Operations Fire” is a fire caused by Purchaser’s Operations other than a Neg- ligent Fire. Forest Service, except as provided in B7.3, shall use cooperative deposits under B4.218 to perform fire sup- pression activities on Operations Fires. Xxxxxxxxx agrees to reimburse Forest Service for such cost for each Opera- tions Fire, subject to a maximum of the dollar amount stated in A14. The cost of Purchaser’s actions, supplies, and equipment on any such fire provided pursuant to B7.3, or otherwise at the request of Forest Service, shall be credited toward such maximum. If Purchaser’s actual cost exceeds Purchaser’s obligation stated in A14, Forest Service shall reimburse Purchaser for the excess.

  • Operator The Optionee shall be the operator for purposes of developing and executing exploration programs.

  • ENTERTAINERS AND SPORTSMEN 1.   • School Operations The School’s governing board shall be solely responsible for the operation of the school and exercise continuing oversight over the School’s operations. The School’s governing board will define and refine policies regarding educational philosophy, and oversee assessment and accountability procedures to assure that the School’s student performance standards are met or exceeded.
