Unless the context otherwise requires, (i) words of any gender include each other gender; (ii) words using the singular or plural number also include the plural or singular number, respectively; (iii) the terms “hereof,” “herein,” “hereby” and derivative or similar words refer to this entire Agreement; (iv) the terms “Article” or “Section” refer to the specified Article or Section of this Agreement; (v) the word “including” shall mean “including, without limitation;” (vi) the word “consent” shall mean “consent, not to be unreasonably withheld or delayed”; (vii) the word “or” shall be disjunctive but not exclusive; (viii) the words “made available” shall mean that the information referred to has been made available if requested by the party to whom such information is to be made available; (ix) all references herein to “days” shall mean calendar days, and all references to “business day” shall mean any day that is not a Saturday, Sunday or any other day when banks are required or authorized by law to be closed in The City of New York; and (x) references to any statute, regulation or other law shall include any and all amendments and successors thereto.

Unless expressly provided otherwise, references to Articles, Sections, Exhibits, and Disclosure Schedules are to Articles, Sections, Exhibits, and the Disclosure Schedules of or to this Agreement. References to books, records or other information mean books, records or other information in any form, including paper, electronically stored data, magnetic media, film and microfilm. All dollar amounts set forth herein are expressed in currency of the United States. Unless the context otherwise requires, any reference or use in this Agreement of the word “including” is illustrative only and shall be deemed to be followed by the words “without limitation.”
