Opinions of Counsel to the Borrower. The Administrative Agent shall have received favorable opinions of counsel to the Primary Borrower, in form and substance reasonably satisfactory to the Administrative Agent;
Opinions of Counsel to the Borrower. The Administrative Agent shall have received (i) an opinion of Xxxxxx Xxxxxxx, assistant general counsel of the Borrower, dated the Second Amendment Effective Date, in a form reasonably satisfactory to the Administrative Agent, and (ii) an opinion of Xxxxxxxx & Sterling LLP, special counsel to the Borrower, dated the Second Amendment Effective Date, in a form reasonably satisfactory to the Administrative Agent.
Opinions of Counsel to the Borrower. The Lenders shall have received executed copies of the favorable written opinions of (i) Xxxxxxxx & Xxxxxxxx LLP, special New York counsel for the Borrower, and (ii) Morris, Nichols, Arsht & Xxxxxxx LLP special Delaware counsel for the Borrower, in each case as to such matters as the Lenders may reasonably request, dated as of the Effective Date and in form and substance reasonably satisfactory to the Lenders (and the Borrower hereby instructs such counsel to deliver such opinions to the Lenders).
Opinions of Counsel to the Borrower and the Borrower. The Lender shall have received, at Closing, favorable legal opinion(s) as to such matters as Lender may require.
Opinions of Counsel to the Borrower the Guarantor and the Sponsors in form and content acceptable to the Lender and its counsel as to the execution and delivery by the Borrower, the Guarantor and the Sponsors of the Credit Documents and other matters related thereto;
Opinions of Counsel to the Borrower. Lender shall have received legal opinions of Borrower’s counsel reasonably satisfactory to Lender (i) with respect to the non consolidation of the Borrower in the event of an insolvency proceeding being brought against, or the bankruptcy of certain Beneficial owners of the Borrower, (ii) with respect to due execution, delivery, authority, enforceability of this Agreement, the Mortgage and each of the other Loan Documents and (iii) with respect to the Borrower’s continued existence as a limited liability company under the laws of the State of Nevada and such other matters as Lender may require, all such opinions in form, scope and substance satisfactory to Lender and Lender’s counsel in their reasonable discretion.
Opinions of Counsel to the Borrower. A written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxxxxx & Xxxxx LLP, counsel for the Borrower, substantially in the form of Exhibit B. The Borrower hereby requests such counsel deliver such opinions to the Lenders.
Opinions of Counsel to the Borrower. Lenders and their respective counsel shall have received originally executed copies of a customary opinion of Winston & Sxxxxx LLP, counsel for the Borrower, dated as of the Closing Date in form and substance satisfactory to Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinions to Administrative Agent and Lenders).
Opinions of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (i) Shearman & Sterling, counsel for the Borrower, substantially in the form of Exhibit C, and covering such other matters relating to the Borrower, this Agreement or the Transactions as the Required Lenders shall reasonably request and (ii) of Jeff E. Moriarty, General Counsel to the Borrower, substantially in xxx xxxx xf Exhibit D (and the Borrower hereby instructs such counsel to deliver such opinions to the Lenders and the Administrative Agent).
Opinions of Counsel to the Borrower. NELnet, the Trustee and each Seller in forms acceptable to the Facility Agent.
