Existence as a Limited Liability Company. Subject to Section 5.02, so long as Environmental Control Bonds of any Series remain Outstanding, the Seller will keep in full force and effect its existence as a limited liability company and remain in good standing, in each case under the laws of the jurisdiction of its formation, and will obtain and preserve its qualification to do business in each jurisdiction in which such qualification is or shall be necessary to protect the validity and enforceability of this Agreement and each other instrument or agreement to which the Seller is a party necessary to the proper administration of this Agreement and the transactions contemplated hereby.
