Omission of Sensitive Information. The Limited Partners acknowledge and agree that the Fund or the General Partner and its Affiliates may acquire confidential information related to third parties (e.g., Portfolio Companies) that pursuant to fiduciary, contractual, legal or similar obligations cannot be disclosed to the Limited Partners. Without limiting the foregoing and notwithstanding any provision in this Agreement to the contrary, the General Partner shall have no obligation to disclose to Limited Partners (a) any terms of an actual or potential investment in a Portfolio Company, (b) the management plans or strategies being employed or planned by a Portfolio Company, or (c) the performance or prospects for a Portfolio Company, if the General Partner believes that providing such information to the Limited Partners would have the effect of (i) decreasing the likelihood of consummating an investment in that Portfolio Company or another entity, (ii) causing a risk of increasing the price to be paid by the Fund for an investment in the Portfolio Company or another entity, or by the Portfolio Company in another entity, (iii) requiring the General Partner or a Portfolio Company to breach any confidentiality agreements to which it is a party, (iv) posing a risk of diminishing the value of the securities of the Portfolio Company, including by destabilizing the management thereof, or (v) posing an undue risk, that Confidential Information would thereby be improperly disclosed. The General Partner may omit any such information from any Capital Call Notice or reports to the Limited Partners. In such a case, the General Partner shall notify each Limited Partner of such terms of the investment as soon as the General Partner deems such notice to be prudent which may be after the consummation of such investment. None of the Fund, the General Partner, the Management Company or any of their Affiliates shall have any liability as a result of acquiring, holding or failing to disclose information to the Limited Partners pursuant to this Section 10.5.4.

The Company shall immediately notify IHiS of any unauthorised disclosure or use of the Confidential Information of which the Company becomes aware and will take all steps which IHiS may require in relation to such unauthorised disclosure or use, or to prevent further unauthorised disclosure or use. Notwithstanding the foregoing, the Company shall be entitled to make any disclosure of the Confidential Information as required by law, but shall give IHiS not less than TWO (2) business days' notice of such disclosure and shall consult with IHiS prior to such disclosure with a view to avoiding such disclosure, if legally possible.
