HANDLING OF CONFIDENTIAL INFORMATION. The Company agrees to undertake the following in relation to IHiS’ Confidential Information: to maintain the same in confidence and to use it only for the Purpose and for no other purpose; not to make any commercial use thereof; not to use the same for the benefit of itself or of any third party other than pursuant to a further agreement with IHiS; not to use the same for the purpose of guiding or conducting a search of any information, materials or sources, whether or not available to the public, for any purpose whatsoever, including without limitation, for the purpose of demonstrating that any information falls within one of the exceptions in Clause 1.1(b); not to copy, reproduce, reverse engineer or reduce to writing any part thereof except as may be reasonably necessary for the Purpose and that any copies, reproductions or reductions to writing so made shall be the property of IHiS; not to disclose the Confidential Information whether to its employees or to third parties except in confidence to such of its Representatives who have been informed of the confidential nature thereof and who need to know the same for the Purpose and that: such Representatives are contractually obliged (whether by their contracts of employment or service, or otherwise) not to disclose the same or to use the same otherwise than for the Purpose; and the Company shall enforce such obligations at its expense, and to such extent as may be required by IHiS, in the event of a breach thereof that relates to IHiS' Confidential Information; to ensure the compliance to this NDA (including sub-clauses (a) to (f) above) on the part of its Representatives to whom Confidential Information is disclosed; and to apply to the Confidential Information no lesser security measures and degree of care than those which the Company applies to its own confidential or proprietary information of similar nature, but in no event less than reasonable care, and which the Company warrants as being adequate protection of such information from unauthorised disclosure, copying or use. The Company, as the principal party, shall be responsible and held liable for any breach of this NDA by any of its Representatives. HANDLING OF CONFIDENTIAL INFORMATION. 2.1. The THIRD PARTY shall, and shall ensure and procure that its servants shall, maintain the Confidential Information in strict confidence, including requiring its servants to enter into a confidentiality agreement on substantially the same terms as this Confidentiality Agreement, and shall, without limitation to the generality of this obligation, exercise in relation thereto no less security measures and degree of care than those which it applies to its own confidential information which it warrants as providing adequate protection against unauthorised disclosure, copying or use.
HANDLING OF CONFIDENTIAL INFORMATION. Provider shall protect against the unauthorized access, use or disclosure of Confidential Information subject to the terms and conditions of this Agreement and to Exhibit C attached hereto and incorporated herein of this Agreement.
HANDLING OF CONFIDENTIAL INFORMATION. Each party agrees that at all times and notwithstanding any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party Confidential Information of the other, except as approved in writing by the other party to this Agreement, and will use the Confidential Information for no purpose other than with the other party to this Agreement. Each party shall only permit access to Confidential Information of the other party to those of its employees or authorized representatives having a need to know and who have signed confidentiality agreements or are otherwise bound by confidentiality obligations at least as restrictive as those contained herein.

The parties acknowledge that they will be exchanging information about their businesses under this Agreement which is confidential and proprietary, and the parties agree to handle that confidential and proprietary information in the manner described in this Section 26.

Upon termination of this Confidentiality Agreement, all Confidential Information received by the THIRD PARTY and copies thereof shall be destroyed by him. THIRD PARTY OBLIGATIONS The THIRD PARTY shall:- not divulge the Confidential Information to any party other than as provided for in this Confidentiality Agreement; use the Confidential Information only for the purposes necessary in providing the services for which he is engaged by the CLIENT; and make no commercial use of the Confidential Information or any part thereof. Notwithstanding the foregoing, the THIRD PARTY shall be entitled to make any disclosure required by law of the Confidential Information and shall notify the CLIENT of so doing in accordance with the provisions of paragraph 6.
HANDLING OF CONFIDENTIAL INFORMATION. Promoter acknowledges that the Confidential Information is essential to the goodwill of the business of Selling Agent. Promoter shall hold and maintain the Confidential Information in strictest confidence and in trust for the sole and exclusive benefit of Selling Agent. Promoter shall not use for its own benefit, publish or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Selling Agent, any of the Confidential Information. Promoter shall carefully restrict access to the Confidential Information to those of its officers, directors, and employees who clearly need such access in order to participate on behalf of Promoter in discharging the duties of Promoter hereunder. Promoter will advise each of the persons to whom it provides access to any of the Confidential Information that such persons are strictly prohibited from making any use, publishing or otherwise disclosing to others, or permitting others to use for their benefit or to the detriment of Selling Agent, any of the Confidential Information. Promoter shall take all necessary action to protect the confidentiality of the Confidential Information, except for its disclosure as stated in this paragraph.
HANDLING OF CONFIDENTIAL INFORMATION. 2.1 In consideration of the mutual exchange and disclosure of Confidential Information, each party undertakes in relation to the other party's Confidential Information:
