Offer Conditions Not Satisfied. If on or prior to any then scheduled Expiration Date, all of the conditions to the Offer (including the Minimum Condition and all other conditions and requirements set forth in Annex I) shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of ten (10) business days each in order to permit the satisfaction of such conditions, or any lesser period ending on April 19, 2007 (the “Initial Outside Date”), or on December 19, 2007 in the event that the HSR Condition and/or the Governmental Approval Condition shall not have been satisfied, or waived by Parent and Purchaser if permitted hereunder, by the Initial Outside Date (the “Extended Outside Date”), if any such ten-day extension would otherwise end after the Initial Outside Date or the Extended Outside Date, as applicable.
Offer Conditions Not Satisfied. If on or prior to any then scheduled Expiration Date, all of the conditions to the Offer (including the Minimum Condition and all other conditions and requirements set forth in Annex I) shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of up to twenty (20) business days each, as determined by Purchaser, in order to permit the satisfaction of such conditions; provided, however, that Purchaser shall not be required to extend the Offer (A) if any condition to the Offer other than the Governmental Approval Condition has not been satisfied on or prior to January 20, 2008 (the "Initial Outside Date"), or
Offer Conditions Not Satisfied. If on or prior to any then scheduled Expiration Time, the Offer Conditions shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of up to ten (10) business days each until the Offer Conditions are satisfied or waived; provided, however, that Purchaser shall not be required to extend the Offer beyond the date that is twenty (20) business days after the satisfaction of the HSR Condition, provided that such date shall be no earlier than June 30, 2011 and no later than December 31, 2011 (such date, the “Outside Date”).
Offer Conditions Not Satisfied. If on or prior to any then scheduled Expiration Date, all of the Offer Conditions (including the Minimum Condition and all other Offer Conditions) shall not have been satisfied, or waived by Parent or Sub if permitted hereunder, then, subject to the rights of Parent and/or Sub under Article VIII, Sub shall (and Parent shall cause Sub to) extend the Offer for successive periods of up to twenty (20) business days each, as determined by Sub, in order to permit the satisfaction of such Offer Conditions; provided, however, that Sub shall not be required to extend the Offer (A) if at the then scheduled Expiration Date any of the Offer Conditions that are not then satisfied are not reasonably capable of being satisfied at or prior to the Outside Date or (B) beyond the Outside Date; or
Offer Conditions Not Satisfied. Subject to the right of Parent to terminate this Agreement (and the Offer) in accordance with Section 8.1, if on any then scheduled Expiration Time, any of the Offer Conditions shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser may (in its sole discretion, without consent of the Company), and to the extent requested in writing by the Company prior to such scheduled Expiration Time Purchaser shall (and Parent shall cause Purchaser to), extend the Offer for one or more periods of up to ten (10) business days each until the Offer Conditions are satisfied or waived; provided, however, that Purchaser shall not be required to extend the Offer beyond November 21, 2009 (the “Outside Date”).
Offer Conditions Not Satisfied. If on or prior to any then scheduled Expiration Time, the Offer Conditions shall not have been satisfied, or waived by Parent or Merger Sub if permitted hereunder, Merger Sub shall (and Parent shall cause Merger Sub to) extend the Offer for successive periods of up to five Business Days (or such longer period as the parties hereto may agree) each until the Offer Conditions are satisfied or waived;

If on or prior to any then scheduled Expiration Date, all of the conditions to the Offer (including the Minimum Condition and all other conditions and requirements set forth in Annex I) shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for periods of up to 10 Business Days each until the earlier of (x) the date on which the Minimum Condition has been met and all of the conditions and requirements set forth in Annex I are satisfied or waived or (y) the date on which this Agreement is terminated in accordance with Section 8.1.

If on or prior to any then scheduled Expiration Date, all of the conditions to the Offer (including the Minimum Condition and all other conditions and requirements set forth in Annex I) shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of ten (10) Business Days each in order to permit the satisfaction of such conditions, or any lesser period ending on April 30, 2007 (the “Initial Outside Date”), or on June 15, 2007 in the event that the HSR Condition shall not have been satisfied, or waived by Parent and Purchaser if permitted hereunder, by the Initial Outside Date (the “Extended Outside Date”), if any such ten-day extension would otherwise end after the Initial Outside Date or the Extended Outside Date, as applicable.

If on or prior to any then scheduled Expiration Time, the Offer Conditions shall not have been satisfied, or, in Parent’s sole discretion, waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of up to ten (10) business days each until the Offer Conditions are satisfied or waived; provided, however, that Purchaser shall not be required to extend the Offer beyond the date that is forty (40) business days after the satisfaction of the Antitrust Condition, provided that such date shall be no earlier than September 30, 2011 and no later than December 31, 2011 (the “Outside Date”).

If on or prior to any then scheduled Expiration Date, all of the conditions to the Offer (including the conditions and requirements set forth in Annex I) shall not have been satisfied, or waived by Parent or Purchaser if permitted hereunder, Purchaser shall (and Parent shall cause Purchaser to) extend the Offer for successive periods of five (5) Business Days each in order to permit the satisfaction of such conditions, or any lesser period ending on June 15, 2009 (the “Initial Outside Date”), if any such five-day extension would otherwise end after the Initial Outside Date.
