Examples of Initial Outside Date in a sentence
As used in this Agreement, the term “Outside Date” means the Initial Outside Date, unless extended pursuant to the foregoing sentence, in which case, the term “Outside Date” means such date to which the Initial Outside Date has been so extended.
Notwithstanding the foregoing, on the Tranche B Initial Outside Date, all outstanding Tranche B Initial Term Loan Commitments shall automatically terminate if the First Incremental Amendment Closing Date shall not have occurred on or prior to the Tranche B Initial Outside Date.
As used in this Agreement, the term “ Outside Date ” shall mean the Initial Outside Date, unless extended pursuant to the foregoing sentence, in which case the term “Outside Date” shall mean the Second Outside Date.
However, we may not (and are not required to) extend the offer beyond the earlier of the date that the merger agreement terminates in accordance with its terms and September 29, 2009 (the “Initial Outside Date”) or October 29, 2009 if the HSR Condition or the Banking Moratorium Condition has not been satisfied or waived by LabCorp or us (if permitted by the merger agreement) by the Initial Outside Date (such later date, the “Extended Outside Date”).
The Company may extend the Initial Outside Date to the Extended Outside Date so long as (x) the conditions set forth in Section 8.01(b)(i) of the Merger Agreement are complied with and(y) the Company shall have delivered to the Existing Administrative Agent and the Successor Administrative Agent a copy of the written extension notice required under such Section 8.01(b) of the Merger Agreement.
