Number and Transferability. Each of the Holders shall be entitled to have its shares included in an unlimited number of registrations pursuant to this Section 2(b).

The registration rights granted pursuant to this Section 4(b) shall be assignable, in whole or in part, to any permitted transferee of the Shares, provided such transferee executes and delivers to the Company and to Warburg a Joinder Agreement.

The registration rights granted pursuant to this Section 12.2 shall be assignable, in whole or in part, to any permitted transferee of Registrable Securities; provided such transferee agrees to be bound by all provisions of this Article XII.

The registration rights granted pursuant to this Section 3(b) shall be assignable, in whole or in part, to any transferee of Registrable Securities (who shall be bound by all obligations of this Section 3).

The registration rights granted pursuant to this Section shall be assignable at the option of each of the Holders, in whole or in part, to any transferee of the Registrable Securities (i) so long as such transferee owns at least 2% of the Common Stock (computed on a fully diluted basis) of the Company or (ii) the transferee is an Affiliate of the Holder; PROVIDED, that the Company is given written notice by such Holder at the time or within a reasonable time after said transfer, stating the name and address of such transferee or assignee and identifying the securities with respect to which such registration rights are assigned.
Number and Transferability. WPM shall be entitled to have their shares included in an unlimited number of registrations pursuant to this Section 3. The registration rights granted pursuant to this Section 3 are personal to WPM and shall not be assignable, by operation of law or otherwise to any third party not affiliated with WPM.
Number and Transferability. Each Purchaser shall be entitled to have its shares of Registrable Stock included in an unlimited number of registrations pursuant to this Section 8.3. The registration rights granted pursuant to this Section 8.3 shall be assignable, in whole or in part, to any transferee of Registrable Stock; provided that such transferee agrees to be bound by all provisions of this Article 8.

Each of the Holders shall be entitled to have its shares included in two registrations pursuant to this Section 2(b); provided, however, that notwithstanding anything to the contrary contained herein, the Holders shall not be entitled to have their shares registered in the first registered public offering of the Company occurring within six months of the Closing Date.
