Common use of Number and Transferability Clause in Contracts

Number and Transferability. The Holders shall be entitled to have their shares included in an unlimited number of registrations pursuant to this Section 3. The registration rights granted pursuant to this Section shall be assignable at the option of each of the Holders, in whole or in part, to any transferee of the Registrable Securities (i) so long as such transferee owns at least 2% of the Common Stock (computed on a fully diluted basis) of the Company or (ii) the transferee is an Affiliate of the Holder; PROVIDED, that the Company is given written notice by such Holder at the time or within a reasonable time after said transfer, stating the name and address of such transferee or assignee and identifying the securities with respect to which such registration rights are assigned.
