Notice of Discharge of Hazardous Material or Environmental Complaint. The Borrower will, and will cause the Subsidiaries to, promptly provide to the Administrative Agent true, accurate and complete copies of any and all notices, complaints, orders, directives, claims, or citations received by the Borrower or any Subsidiary relating to any of the following which is likely to have a Material Adverse Effect: (a) violation or alleged violation by the Borrower or any Subsidiary of any applicable Environmental Law; (b) Release or threatened Release by the Borrower or any Subsidiary, or at any Facility or property owned or leased or operated by the Borrower or any Subsidiary, of any Hazardous Material; or (c) any Environmental Liability.

Notice of Discharge of Hazardous Material or Environmental Complaint. Promptly provide to the Agent true, accurate and complete copies of any and all notices, complaints, orders, directives, claims, or citations received by the Borrower or any Guarantor relating to any (a) violation or alleged violation by the Borrower or any Guarantor of any applicable Environmental Law, (b) release or threatened release by the Borrower or any Guarantor, or at any facility or property owned or leased or operated by the Borrower or any Guarantor, of any Hazardous Material, except where occurring legally, or (c) liability or alleged liability of the Borrower or any Guarantor for the costs of cleaning up, removing, remediating or responding to a release of Hazardous Materials; provided that so long as there is no suspension of operations, such notice is required only when the aggregate cost of compliance or remedy exceeds $100,000 in the aggregate.
