Note: To be Confirmed. 4.4 The Registration application in the Territory shall be submitted, and the Registration shall be held, maintained and renewed, by ASTRAZENECA for regulatory reasons and the purpose of this Agreement only, on behalf of and for the benefit of TP. ASTRAZENECA shall pay all administrative fees for the application, holding and/or maintenance in force of the Registration in the Territory. ASTRAZENECA expressly acknowledges and agrees that TP is and shall at all times remain the sole and exclusive beneficial owner of the Registration and that ownership of said Registration and any and all rights, title and interest including any accompanying goodwill are, and shall at all times remain, vested in TP. Upon expiration or termination of this Agreement for any reason, said Registration and accompanying interest shall be immediately and unconditionally transferred onto TP or any company designated by TP.

Note: To be Confirmed. In consideration for the rights granted and information disclosed under this Agreement, ASTRAZENECA shall pay to TP and TP is entitled to a royalty fee on the Net Sales realization of the Product on a respective basis of dosage strength as indicated below (“Royalty Fee”). The rate of Royalty Fee are as stipulated here below. Rate of Royalty Fee ITEM Applicable from date of execution till 31st ,March 2018 Applicable with effect from 1st April 2018 Royalty Rate 30mg 60mg 30mg 60mg 15.0% 25.0% 19.0% 26.0% NOTE The stated Royalty Rate(s) shall remain applicable until ASTRAZENECA’s annual Sales Volume realization of the Product in particular dosage strength exceeds the corresponding Baseline Sales (the net sales that arise from the excess by which the annual Sales Volume realization is more than the corresponding Baseline Sales shall be referred to as “Incremental Sales” hereinafter), and thereafter both Parties shall agree to further reduce the Royalty Rate(s) applicable to the Product by 2.53.75% for a. the Incremental Sales, provided that no Deficit is to be Covered; or b. the positive balance of Incremental Sales that arises from the difference after the given excess of Sales Volume is Covered.

  • All Terms to be Conditions The Company agrees that the conditions contained in this Agreement will be complied with insofar as the same relate to acts to be performed or caused to be performed by the Company. Any breach or failure to comply with any of the conditions set out in this Agreement shall entitle any of the Underwriters to terminate their obligation to purchase the Offered Shares, by written notice to that effect given to the Company at or prior to the Closing Time or the Option Closing Time, as applicable.   • Modification to Terms PEMBROKE reserves the right to modify the terms and conditions of this Agreement or its policies relating to the Report at any time, effective upon posting of an updated version of this Agreement on PEMBROKE’s website located at xxx.xxxxxxxxxxxxxxxxxxxxx.xxx. PEMBROKE agrees to notify Purchaser in writing of any material modification at or before the time of such modification’s effectiveness. Continued use of the Report after such notice shall constitute Purchaser’s consent to such modifications.
