Baseline Sales definition

Baseline Sales means, for each Sales Year, AstraZeneca's baseline Net Sales forecast set forth on Schedule B (Baseline Net Sales/Tier 2 Revenues/Termination Baseline Sales).
Baseline Sales means, on a country-by-country basis, the aggregate Net Sales of Product sold by Novartis, its Affiliates and Sublicensees in such country in the twelve (12) consecutive months immediately preceding the first arm’s length sale of any Competitive Product by a Third Party for use or consumption in such country.
Baseline Sales means Net Sales of the 10 mL Product or 20 mL Product, as the case may be, for the prior Year. For the first Year that begins with the Effective Date, Baseline Sales shall be Net Sales of the 10 mL Product or 20 mL Product, as the case may be, beginning on the date that is one year prior to the Effective Date and ending on December 31, 2016.

Baseline Sales is defined in Section 11.5.
