Material Licenses and Permits. Except as disclosed in Schedule 3.11, the Acquired Companies have all licenses, permits, franchises, approvals, authorizations, and registrations (collectively, the "Licenses and Permits") necessary for the conduct of the Business, except where the lack of such Licenses and Permits would not have a Material Adverse Effect. No Acquired Company is in violation of or default under any Licenses or Permits, which violation or default would individually or in the aggregate have a Material Adverse Effect or would interfere materially with the consummation of the transactions contemplated hereby. Schedule 3.11 lists all Licenses and Permits held by the Acquired Companies, and except as set forth on Schedule 3.11, all such Licenses and Permits are in full force and effect as of the date hereof.

To the extent required by applicable laws and regulations of the FDA, the Company or the applicable Subsidiary has submitted to the FDA an Investigational New Drug Application or amendment or supplement thereto for each clinical trial it has conducted or sponsored or is conducting or sponsoring; all such submissions were in material compliance with applicable laws and rules and regulations when submitted and no material deficiencies have been asserted by the FDA with respect to any such submissions.
