Limits of Liabili. Insurance specified in this Article 8 or carried by the Owners shall bejointly reviewed by the Owners periodically at the request ofany Owner, but no review will be required more often than annually (unless there is a substantial change in the Property or operations conducted in the Property), to determine ifsuch limits, deductible amounts and types of C Hl DOCS2I2051 1/312J 7n4nooo 9:37 AM 26 00577252 insurance are reasonable and prudent in view ofthe type, place and amount ofrisk to be transferred and the financial responsibility of the insureds, and to determine whether such limits, deductible amounts and types ofinsurance comply with the requirements ofall applicable statutes, laws, ordi- nances, codes, rules, regulations, or orders and whether on a risk management basis, additional types ofinsurance or endorsements against special risks should be carried or whether required coverages or endorsements should be deleted. Initially, deductible amounts for insurance required under Sections 8.1 (A), 8.I(C) and 8.I(E) shall not exceed $25,000; provided., however, such maximum shall not apply to the Village of Arlington Heights in the event it elects to self-insure risks under Section 8.7. Deductible amounts for insurance required under Section 8.1 (B) shall not be more than is reasonable considering the financial responsibility ofthe insured and shall also be subject, in any case, to the consideration to be given deductible amounts described in this Section 8.4. Limits of liability may not be less than limits required by Mortgagees, notwithstanding amounts set forth in this Article 8. Such limits shall be increased or decreased, deductible amounts increased or decreased or types ofinsurance shall be modified, ifjustified, based upon such review, and upon any such increase, decrease or modification, the Owners shall, at any Owner's election, execute an instrument in recordable form confirming such increase, decrease or modification, which any Owner may record with the Recorder as a supplement to this Agreement; provided, that no agreement regarding a decrease in limits ofliability, increase in deductible amounts or elimination ofany types ofcoverages shall be effective without the written consent ofthe Mortgagees. With the consent of all Owners, the Owners may employ an insurance consultant to perform such review on their behalf or to administer insurance-related matters, and the cost of employing any such consultant shall be shared equally by the Owners.

  • Limits of Liability To the fullest extent permitted by applicable law, (1) You agree that We and HomeServe, and both of our respective parents, successors, affiliates, approved technicians and Our and their officers, directors, employees, affiliates, agents, contractors or similar parties acting on behalf of either Us or HomeServe shall not be liable to You or anyone else for: (a) any actual losses or direct damages that exceed the lowest applicable per repair Benefit Limit, or, if there is no maximum Benefit Limit, any actual losses or direct damages that exceed the cost of repairs provided for in the “What is a Covered Repair?” section(s) of this Service Agreement, relating to any repairs performed by Us, HomeServe or on behalf of either Us or HomeServe or services provided hereunder giving rise to such loss or damage; or (b) any amount of any form of indirect, special, punitive, incidental or consequential losses or damages, damages based on anticipated or lost profits, wages, or revenue, or damages based on diminution in value or a multiple of earnings, including those caused by any fault, failure, delay or defect in providing any repairs performed by Us, HomeServe or on behalf of either Us or HomeServe or services provided under this Service Agreement, regardless of whether such damages were foreseeable and whether or not We or HomeServe or anyone acting on behalf of either Us or HomeServe have been advised of the possibility of such damages (the damages listed in clauses (a) and (b), collectively the “Excluded Damages”); and (2) these limitations and waivers shall apply to all claims and all liabilities and shall survive the cancellation or expiration of this Service Agreement. In the event the Company provides information, recommendations, news, information relating to transactions, market commentary or research to the Client (or in newsletters which it may post on its Website or provide to subscribers via its Website or otherwise), the Company shall not, in the absence of its fraud, willful default or gross negligence, be liable for any losses, costs, expenses or damages suffered by the Client arising from any inaccuracy or mistake in any such information given.
