Limitation on Benefits of this Agreement. No person or entity other than the Parties hereto (or their respective successors or assigns as permitted hereunder) is or shall be entitled to bring any action to enforce any provision of this Agreement against either of the Parties hereto, and the covenants, undertakings, and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Parties hereto (or their respective successors and assigns as permitted hereunder).
Limitation on Benefits of this Agreement. No person or entity other than the Partners and the Company is or shall be entitled to bring any action to enforce any provision of this Agreement against any Partner or the Company. All covenants, undertakings, and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Partners (or their respective successors and assigns as permitted hereunder) and the Company.
Limitation on Benefits of this Agreement. It is the explicit intention of the Partners that no Person other than the Partners and the Partnership (and, to the extent provided in Section 3.10, the Persons entitled to be indemnified thereunder) is or shall be entitled to bring any action by or on behalf of the Partnership to enforce any provision of this Agreement against any Partner (or its successors and assigns) or the Partnership, and that the covenants, undertakings, and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Partners (or their respective successors and assigns as permitted hereunder) and the Partnership (and, to the extent provided in Section 3.10, the Persons entitled to be indemnified thereunder).
Limitation on Benefits of this Agreement. Subject to Section 7.9, it is the explicit intention of the Members that no Person other than the Members and the LLC is or shall be entitled to bring any action to enforce any provision of this Agreement against any Member or the LLC, and that the covenants, undertakings and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Members (or their respective successors and assigns as permitted hereunder), and the LLC.
Limitation on Benefits of this Agreement. No Person other than the Members and the Company (and the Persons entitled to indemnity from the Company or exculpated from liability pursuant to Section 7.6 or Section 7.7, but with regard to such Section 7.6 and Section 7.7 only) is or shall be entitled to bring any action to enforce any provision of this Agreement, and the covenants, undertakings and agreements set forth in this Agreement shall be solely for the benefit of the Company and its Members (and a Member’s successors and assigns as permitted hereunder), and shall be enforceable only by the Majority-In-Interest of the Members and the Company (and by the Persons entitled to indemnity from the Company or exculpated from liability pursuant to Section 7.6 or Section 7.7, but with regard to such Section 7.6 and Section 7.7 only).
Limitation on Benefits of this Agreement. It is the explicit intention of the Partners that no person or entity other than the Partners and the Partnership is or shall be entitled to bring any action to enforce any provision of this Agreement against any Partners or the Partnership, and that except as set forth in this Agreement, the covenants, undertakings, and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Partners (or their respective successors and assigns as permitted hereunder) and the Partnership.
Limitation on Benefits of this Agreement. Except for any Indemnitee, to the extent that such Indemnitee is expressly granted certain rights of defense and indemnification in this Agreement, this Agreement shall not confer any rights or remedies upon any party other than the Members (and their respective successors and assigns as permitted hereunder) and the Venture.
Limitation on Benefits of this Agreement. No person or entity other than the Parties (or their respective successors or assigns as permitted hereunder) is or shall be entitled to bring any action to enforce any provision of this Agreement against either of the Parties, and the covenants, undertakings, and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Parties (or their respective successors and assigns as permitted hereunder). Notwithstanding the preceding to the contrary, the Company shall be a third party beneficiary to this Agreement to the extent the provisions herein apply to the Company.
Limitation on Benefits of this Agreement. It is the explicit intention of the Partners that, with the exception of the rights of BKC, its successors and assigns, in connection with Article VIII and Section 15.3, no person or entity other than the Partners and the Partnership is or shall be entitled to bring any action to enforce any provision of this Agreement against any Partner or the Partnership, and that, except as set forth in Section 8.1(b), the covenants, undertakings and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the Partners (or their respective successors and assigns as permitted hereunder) and the Partnership.
Limitation on Benefits of this Agreement. All rights given to Duke (or its ---------------------------------------- assigns) to enforce the terms of the LLC Agreement are hereby deleted from Section 14.8 of the LLC Agreement and extinguished as of the Effective Date. 8.
