Lessor Consent. Each of Parent, Buyer and Seller shall take all commercially reasonable efforts, and shall reasonably cooperate in such effort, to obtain a consent from the lessor of the US Leased Property with respect to (i) the assignment of the US Lease to Buyer and (ii) the Sublease.
Lessor Consent. This Amendment is subject to and contingent upon Lessor’s execution of a consent document in a form reasonably acceptable to Sublessor and Sublessee within thirty (30) days of the date hereof. In the event Lessor does not execute such consent within such time, either party may terminate this Amendment (in which case the Original Sublease will remain in full force and effect notwithstanding such termination) upon written notice to the other party, which termination will be effective upon receipt. If this Amendment is terminated pursuant to this Section 16, Sublessor shall return to Sublessee the increased portion of the Security Deposit and the first month’s rent for the Expansion Space if previously paid by Sublessee to Sublessor within fifteen (15) business days after the termination date, and neither party shall have any liability to the other on account of this Amendment or any other actions between the parties prior to the termination date. For clarity, in the event of a termination, Sublessee will not be entitled to any reimbursement for costs or expenses incurred by Sublessee, including without limitation, costs incurred for space planning, ordering of furniture, materials or similar items in preparation for occupancy of the Expansion Space, and Sublessee agrees that Sublessor shall have no liability or responsibility in connection therewith.
Lessor Consent. Notwithstanding any contrary provision set -------------- forth in this Agreement, the Stockholders shall prior to the Closing obtain and deliver to Buyers any required Lessor Consent for the transaction contemplated by this Agreement.
Lessor Consent. Lessee shall not assign or transfer this Lease, or any interest in this Lease, or enter into any sublease of any part of the Leased Premises, without the prior, express, and written consent of Lessor, which may be withheld or denied in Lessor’s sole and unfettered discretion. Lessor's consent to an assignment or sublease shall not be deemed to be a consent to any subsequent assignment or sublease. Such consent shall not be construed as a waiver of the duty of Lessee, or its successors or assigns, to obtain from Lessor a consent to any other or subsequent assignment or sublease, or as a modification or limitation of the right of Lessor to consent to any assignments or sublettings by Lessee. Any assignment or sublease without Lessor's consent shall be void, and shall, at the option of Lessor, terminate this Lease.
Lessor Consent. (a) Pursuant to Section 8(i) of the Lease, Lessor acknowledges and consents to the foregoing sale, assignment, transfer and conveyance of all of the Assignor's right, title, interest, obligations and liabilities in, to and under the Lease to the Assignee under this Assignment, and acknowledge the rights and obligations of the Assignee described in this Assignment.
Lessor Consent. The undersigned, as agent for Lessor, hereby consents to the foregoing assignment of the Lease by and between Assignor and Assignee subject to the following conditions: (i) The consent by Lessor to this Assignment shall not in any manner be construed as a release of the Assignor from full performance of all covenants, terms and obligations under the Lease for, related to, or in connection with the environmental condition of the Leased Premises, and Assignor shall continue to be liable for all obligations relating to such environmental condition accruing under the Lease after the Effective Date until the expiration of the term of the Lease; and
Lessor Consent. The provisions of Section 12.3 shall apply only if the matter or thing requiring the consent of Sublessor would have required the consent of Lessor in undertaken by Lessee.
Lessor Consent. The consent of the Lessor to Sublease is set forth in the agreement between the parties of even date ("Lessor's Consent"), a copy of which is attached hereto as Exhibit "B".
Lessor Consent. The Company Entities shall use their commercially reasonable efforts to cause the Lessor Consent to be delivered to the Company Entities prior to the Closing.
Lessor Consent. Lender shall have delivered to Borrower the written consent of the Lessors under the Leases to the granting by Borrower of the security provided for herein and in the other Loan Documents related to the Leases.
