Lessor Consent. Each of Parent, Buyer and Seller shall take all commercially reasonable efforts, and shall reasonably cooperate in such effort, to obtain a consent from the lessor of the US Leased Property with respect to (i) the assignment of the US Lease to Buyer and (ii) the Sublease.

Lessor Consent. Notwithstanding any contrary provision set -------------- forth in this Agreement, the Stockholders shall prior to the Closing obtain and deliver to Buyers any required Lessor Consent for the transaction contemplated by this Agreement.
Lessor Consent. This Amendment is subject to and contingent upon Lessor’s execution of a consent document in a form reasonably acceptable to Sublessor and Sublessee within thirty (30) days of the date hereof. In the event Lessor does not execute such consent within such time, either party may terminate this Amendment (in which case the Original Sublease will remain in full force and effect notwithstanding such termination) upon written notice to the other party, which termination will be effective upon receipt. If this Amendment is terminated pursuant to this Section 16, Sublessor shall return to Sublessee the increased portion of the Security Deposit and the first month’s rent for the Expansion Space if previously paid by Sublessee to Sublessor within fifteen (15) business days after the termination date, and neither party shall have any liability to the other on account of this Amendment or any other actions between the parties prior to the termination date. For clarity, in the event of a termination, Sublessee will not be entitled to any reimbursement for costs or expenses incurred by Sublessee, including without limitation, costs incurred for space planning, ordering of furniture, materials or similar items in preparation for occupancy of the Expansion Space, and Sublessee agrees that Sublessor shall have no liability or responsibility in connection therewith.
Lessor Consent. (a) Pursuant to Section 8(i) of the Lease, Lessor acknowledges and consents to the foregoing sale, assignment, transfer and conveyance of all of the Assignor's right, title, interest, obligations and liabilities in, to and under the Lease to the Assignee under this Assignment, and acknowledge the rights and obligations of the Assignee described in this Assignment.

Lessor Consent. Lessor hereby acknowledges and consents to Xxxxxx's execution, delivery and recording of the Mortgage, the Assignment of Leases and Rents, and other instruments evidencing and/or securing the Loan, and agrees that neither the making of the Loan, the execution, delivery and recording of the Mortgage and the Assignment of Leases and Rents, nor the exercise of any rights or remedies thereunder, including the sale or assignment of the Leased Premises or the improvements thereon (the “Improvements”) through foreclosure or deed in lieu of foreclosure, will cause a default under the Lease, or cause Lender to become the assignee of Xxxxxx's interest under the Lease unless and until Lender, in the exercise of its sole discretion, becomes a tenant under the Lease or forecloses on the Leased Premises and the Improvements. For purposes of the Lease, the Mortgage shall be considered a “Leasehold Mortgage” as such term is defined and used in the Lease.
Lessor Consent. Any consents that Lessor or any of its Affiliates has given with respect to this Lease prior to the Effective Date shall be deemed incorporated into this Lease.
