Knowledge of the Vendor. Where any statement is to the effect that the Vendor is not aware of any matter or circumstance or is a statement qualified by the expression "so far as the Vendor is aware" or any similar expression, that statement (a) shall be deemed to refer to the knowledge of the Vendor and its directors and shareholders; and (b) shall include a further statement that it has been made after due and careful enquiries.

Knowledge of the Vendor. Any reference in this Agreement to “knowledge of the Vendor” means the knowledge that either (Redacted: names of individuals representing the Vendor) has or should reasonably be expected to have after reasonable enquiry. Notwithstanding the foregoing, reasonable enquiry does not require that any of such individuals conduct or have conducted or obtain or have obtained any freedom-to-operate opinions or similar opinions of counsel or any intellectual property clearance searches beyond the actual knowledge and reasonable inquiry actually conducted by the Vendor, and no knowledge of any third party Intellectual Property that would have been revealed by such further inquiries, opinions or searches will be imputed to such individuals.

Knowledge of the Vendor. Where any statement is to the effect that the Vendor is not aware of any matter or circumstance or is a statement qualified by the expression “so far as the Vendor is aware” or any similar expression, that statement (a) shall be deemed to refer to the knowledge of the Vendor Guarantors (in the case of the Vendor Guarantors that are individuals), the respective directors only of the Vendor and the Vendor Guarantors (in the case of the Vendor Guarantors that are bodies corporate), and Mr. Xxxxxx Xxx (Chief Financial Officer) and Mr. Xxxxxx Xxxx (Director of Technology) and (b) shall include a further statement that it has been made after due and careful enquiries.
Knowledge of the Vendor. Where any representation, warranty or other statement in this Agreement is expressed to be made by the Vendor to its knowledge or is otherwise expressed to be limited in scope to facts or matters known to the Vendor, or of which the Vendor is aware, it shall mean the actual knowledge of Xxxxx Xxxxxxxx and Xxxxxxx Xxxxxxx, after due inquiry.
Knowledge of the Vendor. Where any Warranty refers to the knowledge, information or belief of the Vendor, the Vendor shall be deemed to have made due and careful enquiries of Xxxxxxx Wellesley-Xxxxxx, Xxxxxxx Xxxxxx, Xxxxx Xxxxxxxxx and Xxxxx Xxxxxxxxx and no other person and without carrying out searches and neither the Vendor nor such directors shall be obliged to enquire of any other persons or to carry out any searches.
