Joint Development Projects Clause Samples

The "Joint Development Projects" clause defines the terms and conditions under which two or more parties collaborate to develop a product, technology, or service together. Joint Development Projects. If SPE accepts a Developed Project for joint development (a "Joint Development Project"), SPE shall pay to Beacon an amount equal to of all previously incurred development costs for such Developed Project, and of going forward development costs on such project (with the balance of such costs to be paid by Beacon) until such time, if ever, as SPE or Beacon elects to abandon further development of such Joint Development Project. Beacon and SPE shall co-own all rights (including the copyright) in and to each such project and Beacon shall execute such documents as may be necessary to reflect and perfect SPE's co-ownership.
Joint Development Projects. Each Party will exert commercially reasonable efforts including without limitation dedication of appropriate staff, facilities, equipment as well as access to facilities, sites, data processing and learning centers to carry out such development activities as the Parties shall mutually agree. In particular, Ambient and Aquila agree to cooperate and to use their best commercial efforts in the development, promotion, distribution, marketing and other development activities related to particular development projects identified by Ambient and acceptable to Aquila (the "Projects"). Each Party agrees to provide, at its sole cost and expense, labor and equipment necessary to develop the Projects.
