ISSUANCE AND PURCHASE OF THE NOTE. Upon the terms and subject to the conditions of this Agreement, the Purchaser hereby agrees to purchase, and the Company hereby agrees to issue, sell and deliver to the Purchaser, at the Closing (as defined below), the Note, for an aggregate purchase price of US$50,000,000 (the “Purchase Price”).
ISSUANCE AND PURCHASE OF THE NOTE. (a) The Note shall be issued without coupons as provided in the Note Resolution. Principal payments on the Note shall be payable in seven (7) annual installments due on such dates and in such amounts as are specified in Schedule 1 hereto. The unpaid principal balance of the Note shall bear interest from the date of issuance until paid in ful l (computed on the basis of a 360-day year of twelve months of thirty days each) at an annual rate of interest equal at all times to the Applicable Rate in effect from time to time (each change in the Applicable Rate to take effect on each Pricing Date), subject to adjustment as provided in the Note and Section of this Agreement. Accrued interest on the unpaid principal balance of the Note shall be payable on January 1 and July 1 of each year until the unpaid principal amount of the Note is paid in full , commencing on July The Note and any replacement Note or Notes shall issuable as fully registered notes without coupons, in denominations of not less than FIVE THOUSAND DOLLARS ($5,000) principal amount and any integral multiple of ONE THOUSAND DOLLARS in excess thereof. The Note shall be dated its date of issuance. The Municipality shall issue the Note substantially in the form attached hereto as Exhibit A, with such appropriate variations, omissions and insertions as are permitted or required by this Agreement or the Act. The Note may have endorsed thereon such legends or text as may be necessary or appropriate to conform to any applicable rules and regulations of any governmental authority or any usage or requirement of law with respect thereto. The Note shall be issued in the aggregate principal amount of FIVE MILLION DOLLARS ($5,000,000) and shall be designated "Autonomous Municipality of Guaynabo, Municipal General Obligation Note of Series A." The unpaid principal balance of the Note, together with all accrued and unpaid interest thereon, shall be paid in ful l by not later than July 1, 2023 to the Purchaser and/or to the transferee thereof pursuant to Section hereof.
