Investment Policies. The Borrower is in compliance in all material respects with the Investment Policies.
Investment Policies. The Borrower is in compliance in all respects with the Investment Policies (after giving effect to any Permitted Policy Amendments), except to the extent that the failure to so comply could not reasonably be expected to have a Material Adverse Effect.
Investment Policies. As of the Effective Date, the Fund owns only Eligible Assets, as described in Exhibit B to this Agreement.

The Borrower's assets are being invested substantially in accordance with the investment policies and restrictions set forth in its most recent prospectus and its most recent statement of additional information other than any de minimis violation of such policies arising in the ordinary course of business which the Borrower is in the process of correcting.
