INITIATION; CONFIRMATION; TERMINATION; MAXIMUM TRANSACTION AMOUNTS. (a) Each agreement to enter into a Transaction must be entered into in writing at the initiation of Seller. In any event, Buyer shall confirm the terms of each Transaction by issuing a written confirmation to Seller promptly after the parties enter into such Transaction in the form of Exhibit I attached hereto (a "Confirmation"). Such Confirmation shall describe the Purchased Mortgage Loans, identify Buyer and Seller and set forth (i) the Purchase Date, (ii) the Purchase Price, (iii) the Repurchase Date, unless the Transaction is stated to be terminable on demand as stated in the Confirmation, (iv) the Pricing Rate applicable to the Transaction, (v) the applicable Collateral Amount Percentages and (vi) additional terms or conditions not inconsistent with this Agreement. After receipt of the Confirmation, Seller shall, subject to the provisions of subsection (c) below, sign the Confirmation and promptly return it to Buyer. The Purchase Price for any Transaction shall exceed $750,000.

INITIATION; CONFIRMATION; TERMINATION; MAXIMUM TRANSACTION AMOUNTS. (a) An agreement to enter into a Transaction may be entered into orally or in writing at the initiation of either Buyer or Seller; provided, that this is an uncommitted facility and the Buyer shall have no obligation to enter into any Transaction. Upon entering into such agreement, the Seller shall deliver to the Buyer a Funding Request which request shall include (i) the aggregate principal balance of the related Student Loans; (ii) the aggregate funding amounts and wire instructions for each Servicer funds are to be wired to; (iii) loan level detail in the form of Appendix I to Exhibit I hereto for at least 85% (by principal balance) of the Student Loans to be purchased on the related Purchase Date; and (iv) an acknowledgment by each related AMS Trustee, acknowledging such AMS trustee shall act as Eligible Lender Trustee for the specified Student Loans.

Such Confirmation shall set forth the description of the related Student Loans and shall identify Buyer and Seller and set forth (i) the Purchase Date, (ii) the Purchase Price, (iii) the Repurchase Date, unless the Transaction is to be terminable on demand, (iv) the Pricing Rate applicable to the Transaction, (v) the amount of the related Student Loans that are Federal Student Loans (and the Federal programs represented and the amount represented by each) and the amount that are Private Student Loans, (vi) the applicable Collateral Amount Percentages with respect to such Student Loans and (vii) additional terms or conditions not inconsistent with this Agreement. After receipt of the Confirmation, Seller shall, subject to the provisions of subsection (c) below, sign the Confirmation and promptly return it to Buyer. Each Transaction shall have a Purchase Price of at least $1,000,000.
INITIATION; CONFIRMATION; TERMINATION; MAXIMUM TRANSACTION AMOUNTS. (a) Subject to the terms and conditions of this Agreement and the other Transaction Documents, this Agreement is a commitment by the Committed Buyer to purchase from Sellers certain Eligible Mortgage Loans and the Committed Buyer agrees to enter into Transactions from time to time with any Seller, provided the aggregate Purchase Price for all Purchased Assets at any one time subject to then outstanding Transactions shall not exceed the Maximum Aggregate Purchase Price minus the aggregate Unutilized Credit Line with respect to all Purchased Assets which are HELOCs or One Time Close Loans.

  • Payment Through Termination Upon termination of Employee's employment for any reason provided above, Employee shall be entitled to receive all compensation earned and all benefits and reimbursements (including payments for accrued vacation and sick leave, in each case in accordance with applicable policies of the Company) due through the effective date of termination. Additional compensation subsequent to termination, if any, will be due and payable to Employee only to the extent and in the manner expressly provided above in this Section 6. With respect to incentive bonus compensation, Employee shall be entitled to receive any bonus declared but not paid prior to termination.   • Deliverables at Triggering Event Dates; Certificates The Company agrees that on or prior to the date of the first Issuance Notice and, during the term of this Agreement after the date of the first Issuance Notice, upon:

  • Transfer to Avoid Termination Event If either an Illegality under Section 5(b)(i)(1) or a Tax Event occurs and there is only one Affected Party, or if a Tax Event Upon Merger occurs and the Burdened Party is the Affected Party, the Affected Party will, as a condition to its right to designate an Early Termination Date under Section 6(b)(iv), use all reasonable efforts (which will not require such party to incur a loss, excluding immaterial, incidental expenses) to transfer within 20 days after it gives notice under Section 6(b)(i) all its rights and obligations under this Agreement in respect of the Affected Transactions to another of its Offices or Affiliates so that such Termination Event ceases to exist. If the Affected Party is not able to make such a transfer it will give notice to the other party to that effect within such 20 day period, whereupon the other party may effect such a transfer within 30 days after the notice is given under Section 6(b)(i). Any such transfer by a party under this Section 6(b)(ii) will be subject to and conditional upon the prior written consent of the other party, which consent will not be withheld if such other party's policies in effect at such time would permit it to enter into transactions with the transferee on the terms proposed.

  • Termination Date Determination Seller will not designate the Termination Date (as defined in the Receivables Sale Agreement), or send any written notice to Originator in respect thereof, without the prior written consent of the Agent, except with respect to the occurrence of such Termination Date arising pursuant to Section 5.1(d) of the Receivables Sale Agreement.

  • Effective Date; Termination of Prior Intercompany Tax Allocation Agreements This Agreement shall be effective as of the Effective Time.
